- Achyut Healthcare is a pharmaceutical company in the middle of a deliberate transformation - from a trader that bought and sold other people’s medicines into a manufacturer with its own factory floor. It was founded in 1996, listed on the BSE’s small-company platform in early 2022, and received main-board listing approval effective January 2026, all while operating as a single-segment formulations business with no subsidiaries and no bank debt. The recurring approach is to use regulatory approvals borrowed from a related party, Zenith Healthcare, as a bridge while it builds its own manufacturing capability - essentially renting a licence to sell until its own plant is ready.
Business segments
A single pharmaceutical formulations engine, currently running on traded goods under a partner’s licence while its own manufacturing plant is being commissioned - one business, two phases of the same journey.
1. Pharmaceutical formulations: a trading business becoming a manufacturer
The company sells tablets, capsules, oral liquids and injectables today using another firm’s FDA approvals, while its own factory moves toward commercial production.
- Sold under a partner’s licence - the products Achyut sells are registered and approved under Zenith Healthcare Limited with the Food and Drug Administration, so the company buys raw materials and finished goods from Zenith under a related-party arrangement that was valued at up to Rs. 100 crore for FY25.
- Building its own plant - the company is installing manufacturing lines for general tablets, hard and soft gelatin capsules, anaesthetic liquid and sachets, with commercial production expected to begin in January 2026 after an earlier target of January 2025 slipped.
- A fee that rises with quality certifications - the company pays for goods produced at its own premises on a cost-plus formula: 10% of monthly production cost (minimum Rs. 6.25 lakh) at the start, stepping up to 12% once the plant gets WHO GMP certification, and 15% after EU certification, which creates a built-in incentive to reach international manufacturing standards.
- Funded by equity, not debt - the company raised Rs. 15.7 crore through a preferential share issue in FY24 specifically to buy plant and machinery for the manufacturing facility, and it carries no obligations to any bank or financial institution.
- Competing in a crowded field - management has flagged that heavy competition from large pharmaceutical companies and new entrants has pushed sales and margins down substantially, so the sales team tracks market trends and shifts the product mix in response.
Group structure and partners
Achyut Healthcare is a standalone company with no subsidiaries, but its operations are tightly woven with Zenith Healthcare - the related party that supplies its goods and holds its product licences.
- The promoters - Mahendra Raycha and Akshit Raycha - together with their family entities (the Raycha HUF, Ray Remedies Private Limited and Zenith Lifecare Private Limited) held roughly 20% of the company after the March 2026 preferential issue.
- The company has no subsidiaries, joint ventures or associate companies, and its shares - originally listed on the BSE SME platform in March 2022 - migrated to the BSE main board in January 2026.
