ACS Technologies' record is clean on its face: four years of unmodified audit opinions, clean CARO reports, and clean internal-financial-controls opinions. The substance is more complicated: reported profits do not convert to cash, revenue quality is deteriorating, and the promoter group consolidated control after insolvency through board appointments and remuneration escalations.
Key findings
- Reported profits do not convert to operating cash
Major- Cumulative CFO of ₹-71 crore against PAT of ₹21 crore and EBITDA of ₹47 crore over five years through FY2026, a CFO/(PAT−other income) ratio of -3.58x. In FY2026, CFO was ₹-36.47 crore against PAT of ₹8.52 crore, a -4.28x ratio; in FY2023, CFO was ₹-52.13 crore against PAT of ₹2.90 crore, a -17.98x ratio. FY2025 was the only positive CFO year at ₹14.39 crore against PAT of ₹4.84 crore, a 2.97x ratio. - Related-party transactions with promoter-linked entities are material and recurring
Major- The company sought approval for a ₹50 crore transaction with Innovistas Innovations, a 51% subsidiary with nil turnover, representing 1.89% of annual consolidated turnover. A ₹200 crore transaction with Automicrouas Aerotech, effective from 4 August 2026, has no promoter interest and uses internal equity at market-rate interest. The materiality threshold applied is transactions exceeding ₹1,000 crore or 10% of turnover, whichever is lower. - Reported borrowings understate economic obligations
Major- A ₹20 crore convertible loan from Adiniya Investments at 12% interest, convertible at mutually agreed terms, and a ₹124.03 crore preferential warrant issue are disclosed but not in reported borrowings. Bank facilities of ₹100 crore rated by Infomerics are secured partly by a director's personal property. Total financial liabilities rose from ₹1,29,574.604 thousand to ₹3,91,456.444 thousand between March 2024 and March 2025. - Revenue quality is deteriorating sharply
Major- Standalone revenue grew 53% in FY2025-26, while subsidiary IOTIQ Innovations contributed 35% of consolidated revenue. Consolidated receivable days fell to 105 in FY2025-26 from 136 in FY2024-25, continuing a three-year halving from 242 to 105. Trade receivables increased 14% to ₹46.96 crore in FY2024-25, about 29% of total assets. - Goodwill of ₹26.99 crore was not amortized in FY2024-25 after a policy change
Major- Goodwill of ₹26.99 crore from the 2022 merger was not amortized in FY2022-23, then amortized over 10 years starting FY2023-24, but amortization was discontinued from FY2024-25. The FY2024-25 annual report contains contradictory notes: one says goodwill "will be impaired over a period of time on straight line basis," while another says it is tested annually for impairment. No impairment loss was recognized in FY2024-25. - Post-CIRP promoter group consolidated control
Major- Ashok Kumar Buddharaju's remuneration was revised from ₹3,00,000/month to up to ₹10,00,000/month effective 1 April 2025, and Anitha Alokam's from ₹1,00,000/month to ₹4,00,000/month. Both resolutions passed with 99.6% assent. Anitha Alokam is the wife of the CFO, A. Prabhakara Rao. The Monitoring Committee appointed both as directors on 1 May 2023, after the NCLT order. - The company spent FY2022-23 under NCLT insolvency proceedings
Major- The NCLT initiated CIRP on 1 July 2022, suspending the board's powers and vesting them in the Resolution Professional. Listing fees were not paid to the exchanges, and shares remained under suspension with no trading during FY2022-23. - The resolution plan settled claims at 15.79%
Minor- The NCLT approved the plan on 29 March 2023, settling admitted liabilities of ₹12.46 crore for ₹1.97 crore. Unsecured financial creditors (related parties) of ₹7.02 crore were paid at nil. An income tax demand of ₹1.69 crore was not admitted, with only ₹2.81 lakh proposed from a contingency fund. - Four consecutive years of clean audit opinions
Clean- Gorantla & Co. issued unmodified opinions on standalone and consolidated financial statements for FY2022-23 through FY2025-26. No fraud was reported, no Form ADT-4 was filed, and CARO reports contained no qualifications in any year. The company was not declared a wilful defaulter, and no benami proceedings were initiated.
What to watch
- Preferential issue outcome. The application for the preferential issue of 49,50,495 equity shares at ₹40.40 each, aggregating ₹20 crore, to Adiniya Investments Private Limited, filed 4 August 2026, was under process as of the FY2025-26 Annual Report.
- Income tax demand resolution. The unadmitted ₹1.69 crore tax demand has only ₹2.81 lakh proposed for payment from the contingency fund, per the resolution plan dated 29 March 2023.
- Share listing restoration. The company is in the process of completing the other procedures as mentioned in the successful resolution plan and will approach Bombay Stock Exchange for listing of shares as per the approved resolution plan, as disclosed in the FY2023-24 Annual Report.
Bottom line: This is a disclosed and audited record with real cash conversion problems. The risk sits in the gap between reported profits and operating cash, in the deteriorating revenue quality, and in the promoter group's control over related-party transactions. Watch whether the ₹20 crore convertible loan gets a repayment date and whether the ₹355 crore of RPT resolutions pass at the 33rd AGM.
