Ashram Onlinecom Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Ashram Onlinecom’s record is thin and quiet: seven years of unqualified audit opinions, a stable micro-cap board, and zero promoter pledge. Two things deserve attention: nearly all lending flows to promoter-linked entities, and trade receivables have swollen to 471 days of revenue with no impairment booked.

Key findings

  1. Nearly all lending goes to promoter-linked entities, with proposed limits over 2,100 times turnover Major - Loans to related parties reached ₹3.97 crore in FY26, up from ₹65 lakhs in FY25 and ₹20 lakhs in FY24. The AGM notice dated 1 Aug 2026 seeks approval to lend up to ₹50 crore each to three corporate related parties, an aggregate of ₹150 crore, against annual consolidated turnover of ₹69.57 lakhs. One of those counterparties, Opti Products, carries a negative net worth of 12.68 crore.
  2. Trade receivables hit 471 days of revenue with no impairment Major - Receivables jumped from ₹2.81 lakhs at March 2024 to ₹62.33 lakhs at March 2026, while revenue stayed nearly flat at ₹0.35 crore and ₹0.48 crore. Receivable days stretched from 28 in FY24 to 301 in FY25 and 471 in FY26. The auditor flagged revenue recognition as a Key Audit Matter, yet no impairment loss was recognised despite amounts being past due beyond 60 days.
  3. Operating cash flows are persistently negative or negligible Minor - Operating cash flow was negative ₹3.20 crore in FY26 and negative ₹0.08 crore in FY25. Return on capital employed was 0.75% in FY26 and negative in two of the prior three years. Short-term borrowings made up the entire ₹3.57 crore of total borrowings as of FY26.
  4. A family-controlled board with nil promoter pledge and routine re-appointments Clean - Promoter shareholding stood at 25.36% with zero pledge. Mrs. Sangita Tatia, Whole-time Director, and her father-in-law served on the board; following his death on 29 April 2026, her spouse Mr. Bharat Jain Tatia was appointed as Additional Director on 27 May 2026. Re-appointments at the 2020 and 2021 AGMs passed with near-zero dissent.
  5. Auditor resigned mid-tenure citing firm dissolution; replacement continues through FY26 Clean - M/s. J.V. Ramanujam & Co. resigned on 10 January 2023, citing dissolution of the firm and stating the resignation was not due to any concerns about the company. M/s. Darpan & Associates was appointed to fill the casual vacancy effective 23 January 2023, with shareholders approving the appointment via postal ballot on 12 April 2023, and has served continuously through the FY26 audit, signed 27 May 2026.

What to watch

Bottom line: This is a disclosed and consistently audited record with a stable, family-controlled board and zero promoter pledge. The risk sits in two places: the promoter-lending channel, which channels nearly all company loans to related parties on demand, and the receivables line, which has outgrown revenue by a wide margin with no impairment. Read the shareholder vote on the ₹50 crore RPT limits with those two numbers in mind.
