Asia Capital Ltd's record is a study in contradictions: six consecutive years of unqualified audit opinions sit alongside negative operating cash flow in four of the last five years, a 100% concentration of lending in fewer than 20 borrowers, and a board that has repeatedly authorized borrowing limits over 100 times what it actually uses. The clean opinions and simple corporate structure are real, but they are repeatedly undercut by the company's own disclosures on cash, confirmations, and governance.
Key findings
- Operating cash flow has been negative in four of five years while profits were reported each year
Major- The company reported positive PAT in every year from FY22 to FY26, but operating cash flow was negative in four of those five years, with the CFO/PAT ratio reaching -18.14x in FY26. Only FY25 was positive, at 20.23x. No dividend was recommended in any of those years, with profits stated as "retained and ploughed back". - All lending is concentrated in fewer than 20 borrowers, and debtor confirmations were not received
Major- The company reported that 100% of its advances and exposures were to its largest borrowers in FY2024-25 and FY2021-22. In FY2022-23, it disclosed that confirmation of balances was NOT received from debtors despite requests sent to major parties, and that balances are as per books of accounts only. Revenue declined from ₹0.54 crore in FY2024 to ₹0.48 crore in FY2025 and further to ₹0.27 crore in FY2026. - Shareholders repeatedly authorized borrowing of ₹100 crore, yet reported borrowings stayed near zero
Major- In every annual general meeting from FY2020-21 through FY2025-26, shareholders approved special resolutions authorizing the Board to borrow up to INR 100.00 Crore. Reported borrowings were just Rs. 7,116.12 thousand as at March 31, 2022, rising to Rs. 9,416.12 thousand as at March 31, 2023. The FY2025-26 resolution was passed with 100% votes in favour at the 25 August 2025 postal ballot. - The company deviates from prescribed accounting standards on asset lives and employee benefits
Major- The company states the useful life of Furniture & Fixture as 15 years instead of the prescribed 10 years, a deviation disclosed in every annual report from FY2019-20 through FY2025-26. It does not recognise liability for Gratuity and Leave encashment as per Ind AS 19, providing only when paid. FY2021 results include an adjustment line for "Short/ (Excess) depreciation for earlier years" of ₹-3,877. - Six years of clean audit opinions, but the auditor repeatedly admitted IEPF transfer delays and a missing audit trail
Major- Shankarlal Jain & Associates LLP issued unqualified opinions for each year from FY2020-21 through FY2025-26, with no Key Audit Matters or Emphasis of Matter paragraphs. However, the auditor's report admitted delays in transferring amounts to the Investor Education and Protection Fund in FY2021-22, FY2022-23, FY2023-24 and FY2024-25. The FY2023-24 report stated the company had NOT used accounting software with an audit trail, a feature the FY2024-25 and FY2025-26 reports said operated throughout the year. - Promoter-family directors hold all executive roles with nil pay, and the MD was re-appointed with 100% promoter votes
Major- Santosh Suresh Choudhary, founder of the 75% promoter holding company, was re-appointed as Managing Director for a second five-year term from November 29, 2025, with 2,528,990 votes in favour and 0 against at the 41st AGM held August 25, 2025. No director has drawn any salary in FY2022-23 through FY2025-26. Board composition declined from 7 directors (4 independent) in FY2021 to 5 directors (2 independent) as of March 31, 2026. - Statutory auditor stable for six years, but secretarial auditor churned twice in 18 months
Minor- Shankarlal Jain & Associates LLP has served as statutory auditor since October 2020 and was reappointed at the 41st AGM with 100% votes. M/s. Saloni Goyal & Associates was appointed as Secretarial Auditor for a 5-year term from April 1, 2025. On August 6, 2026, the Board appointed Mr. Anand Khandelia to fill a casual vacancy for FY2025-2026. - The company has consistently reported no subsidiaries, JVs, or associates
Clean- Asia Capital Ltd reported having no Subsidiaries, Joint Ventures, or Associate Companies in every year from FY2019-20 through FY2025-26, with Form AOC-1 not applicable. SKC Investment Advisors Pvt. Ltd. is the holding company with 75% shareholding. The company is registered as a non-deposit taking NBFC with RBI, classified as Non-Systemically Important as of FY2025-26.
What to watch
- Secretarial auditor appointment. The 42nd AGM on September 19, 2026 will vote on appointing Mr. Anand Khandelia for five years.
- Director re-appointment. Mr. Devendrasingh Ramola's re-appointment will be voted on at the 42nd AGM, with book closure notice issued 24 Aug 2026.
- Borrowing authority use. Whether the Board exercises the ₹100 crore authority approved at the 25 August 2025 postal ballot, and whether any borrowings appear in the FY2026-27 annual report.
- Related-party loan. The next Regulation 23(9) disclosure for the half year ending 30 September 2026 will show whether the loan facility from SKC Investment Advisors continued.
- Audit trail and IEPF. The FY2026-27 audit will show whether the IEPF delay admission recurs and whether the audit trail feature continues to be reported as operating.
Bottom line: This is a small, simply-structured NBFC with a stable statutory auditor and a clean opinion every year. The risk is that the clean opinions sit on top of a business where cash does not back reported profits, lending is concentrated in a handful of borrowers who never confirmed their balances, and a promoter-family board has authorised borrowing capacity it does not use. Watch whether the cash flow gap narrows, whether the borrowing authority is ever exercised, and whether the next audit repeats the IEPF and audit trail admissions.
