Aspira Pathlab & Diagnostics' record carries clean audit opinions in every year reviewed, and its revenue base is broad, with no single customer dominating sales. But the gap between what shareholders approved and what the financial statements disclose is wide: shareholders authorised up to ₹12 crore in loans and guarantees to promoter-linked entities in March 2023, yet every subsequent annual report states no such loans exist. The shareholding pattern itself was misstated until a 2026 open offer forced a reclassification, and reported profits are shaped by accounting choices on deferred taxes and depreciation that a reader should understand before relying on the bottom line.
Key findings
- Shareholders approved ₹12 crore in promoter-linked loans, but no financial statement ever shows them
Major- A postal ballot notice dated 20 Feb 2023 sought approval for loans, guarantees, or security to promoter-linked entities up to ₹12 crore under Section 185 of the Companies Act, naming Yashraj Biotechnology Limited (up to ₹5 crore) and Orangutan Gaming Private Limited (up to ₹7 crore), both connected through director-promoter Mr. Arvind Bhanushali. The proposed transactions represented 76.76% of FY2022 consolidated turnover, and the resolution passed on 24 Mar 2023 with 99.9976% votes in favour. Yet the FY2025-26 standalone, FY2024-25 consolidated, FY2023-24 standalone, and FY2022-23 standalone statements each report no loans or advances in the nature of loans to promoters, directors, KMPs, or related parties. - Promoter-linked individuals sat in the "public" shareholder category until a 2026 open offer forced their reclassification
Major- The draft letter of offer dated 13 Oct 2025 disclosed that Acquirers 3 and 4, along with a PAC, were related to the Promoters and had been incorrectly disclosed under the Public category, with no reclassification process undertaken. The letter of offer dated 7 Apr 2026 repeated this for Acquirers 3 and Mrs. Ruxmani Jayant Bhansali, and its categorisation table moved Mr. Jay Arvind Bhanushali, Mr. Nikunj Velji Mange, and Mrs. Shraddha Nikunj Mange from Public to Promoter group consequent to the open offer. The same letter identified the Acquirers as shareholders of Yashraj Biotechnology Limited, an unlisted entity in the Target Company's Promoter Group. Promoter shareholding as of the latest financial year stood at 46.58%, up 28.19 percentage points in one year, with zero pledge. - Reported profits rest on non-recognition of deferred tax assets and depreciation lives that differ from Schedule II
Major- Deferred tax assets of ₹2.87 crore (FY2025: ₹3 crore), ₹3.58 crore (FY2023: ₹2.98 crore), and ₹4.23 crore (FY2020: ₹4.5 crore) were not recognised due to lack of virtual certainty over future taxable profits, and no income tax expense was booked because the company has no taxable profits under the Income Tax Act. Management depreciates property, plant and equipment over experience-based lives of 13 and 15 years, and lab equipment over 8 years and lab instruments over 10 years, versus the 15-year Schedule II prescription. Consolidated PAT of ₹2.40 crore against a standalone loss of ₹0.45 crore means 119% of profit came from subsidiaries. - The group's only associate was acquired and struck off within a year, leaving no subsidiaries, associates, or JVs
Major- On 16 May 2025, Aspira announced the 100% acquisition and strike-off of Aspira DNA Diagnostics Gujarat LLP for approximately ₹16,00,000, disclosed as a related party transaction at arm's length. A Business Transfer Agreement was executed on 1 July 2025, with the acquisition effective 30 June 2025 on a slump sale basis; management represented the LLP ceased substantive operations, so the associate relationship was deemed to cease and consolidated financial statements were not prepared for FY2025-26. The FY2024-25 consolidated statements had included this LLP as an associate, preparing its financials under Ind AS despite Ind AS not applying to LLPs. As of FY2023-24, the company had no subsidiary, joint venture, or associate. - Goodwill has never been impaired, and FY2026 added new goodwill from the Om Pathology acquisition
Major- Management's impairment testing concluded recoverable amounts exceeded carrying amounts in FY2022-23, FY2021-22, and FY2019-20, so no impairment was recognised in any year. During the quarter ended 31 March 2026, Aspira acquired the business undertaking of Om Pathology Laboratory, Surat under a Business Transfer Agreement effective 01 February 2026, recognising deferred consideration at fair value and the excess as goodwill subject to annual impairment testing under Ind AS 36. - One named litigation: a ₹1.11 crore lease-termination claim with no provision across two years
Minor- Rais Diagnostic Centre filed three summary suits in Bhiwandi/Bhiwani court claiming ₹1.11 crore in aggregate for premature lease termination, with summons served in April & May 2024; the company states the claims are not tenable and liability is less than probable, so no provision was made. The same claim was disclosed in FY2023-24 with summons served in April, and the FY2025-26 standalone statements repeat that contingent liabilities are not provided for on the same grounds. - Revenue recognition is routine with no customer concentration, but receivables collection is a recurring audit focus
Minor- The auditor flagged collectability of trade receivables and expected credit loss assessment as a Key Audit Matter in FY2025, including testing retail revenue against cash, card, and online receipts. No single customer contributed 10% or more to revenue in FY2025 or FY2024, and loss allowances use a lifetime expected credit loss approach with a provision matrix based on ageing. Receivable days improved to 39.02 days in FY2025 from 61.98 days in FY2024. - Clean audit opinions throughout, with an audit-trail exception resolved in FY2025-26 and two Emphasis of Matter paragraphs on acquisitions
Minor- The statutory auditor issued unmodified opinions for all years reviewed, and for FY2025-26 confirmed the audit-trail feature operated with no tampering found. For FY2024-25 and FY2023-24, the audit trail (edit log) in Tally Prime was not enabled at the database level, though no tampering was found where enabled. The auditor's Emphasis of Matter dated 23 May 2026, a special call-out in the audit report, noted both the Aspira DNA Diagnostics Gujarat LLP slump-sale acquisition effective 30 June 2025 and the Om Pathology Laboratory acquisition effective 01 February 2026. CARO 2020 reporting for FY2025-26 stated no benami property was held and the company was not a wilful defaulter.
What to watch
- Open offer completion. Reclassification of Acquirers 3 and 4 and the PAC from Public to Promoter category, as disclosed in the letter of offer dated 7 Apr 2026.
- Section 185 loan utilisation. Whether the ₹12 crore approval and the ₹5 crore (Yashraj) and ₹7 crore (Orangutan) RPT approvals result in actual advances, given FY2025-26 statements report no loans to related parties.
- Rais Diagnostic suits. Outcome of the three summary suits pending as of the FY2024-25 reporting period.
- Om Pathology goodwill. Annual impairment testing under Ind AS 36, first reportable in the FY2026-27 annual report.
- Audit trail and new Emphasis of Matter. Next annual audit report for FY2026-27 to confirm the edit-log exception stays resolved and whether new call-outs arise from the two acquisitions.
Bottom line: This is an audited record with clean opinions, a broad customer base, and improving receivables collection. The character of the risk is disclosure: approved related-party transactions that never appear in the financial statements, a shareholding pattern that misclassified promoter-linked holders as public until an open offer forced correction, and accounting choices on deferred taxes and depreciation that shape reported profit. Watch whether the approved loans ever materialise, how the open-offer reclassification settles, and what the first impairment test on the new Om Pathology goodwill shows.
