Aditya Vision Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Aditya Vision's record is clean on its face: seven years of unqualified audit opinions, no fraud or diversion findings, and revenue that has grown to ₹2,672 crore in FY26. Two things deserve attention: operating cash flow has persistently lagged reported profit, covering only 0.32x of cumulative earnings over nine years, and a promoter family that dominates the board extracts escalating remuneration through special resolutions that repeatedly override statutory limits, even as public shareholders register rising dissent.

Key findings

  1. Operating cash flow has persistently lagged reported profit Major - Cumulative CFO of ₹132 crore covered only 0.32x of cumulative PAT less other income over the nine years through FY26. In FY25, CFO was negative ₹40.82 crore against a PAT of ₹106 crore, and in FY24 it was negative ₹6.12 crore against a PAT of ₹77.07 crore. The board recommended a final dividend of 125% for FY26, up from 110% for FY25, and the company bought back 2,082,000 shares in FY21.
  2. Promoter family dominates the board and extracts escalating remuneration Major - Mr. Yashovardhan Sinha serves as Chairman and Managing Director with no separate Chairperson or CEO post, and the Board as of March 31, 2026 included his wife and two daughters. His re-appointment at ₹20,00,000 per month required a special resolution because he will cross age 70 on October 4, 2028, and drew 7.60% votes against from public shareholders. Promoter shareholding fell from 53.23% to 47.14% over the year to the latest filing, with four disposal events totalling ₹441 crore between March 2024 and September 2025.
  3. The company uses longer-than-standard useful lives for key asset classes Minor - Since at least FY20, the company has assigned useful lives for computers, furniture and fixtures, and plant that are "on the higher side" than those prescribed in Schedule II of the Companies Act, 2013. In March 2022, the company identified a material error in its Ind AS 116 implementation that had understated depreciation and interest cost, and restated four quarters of FY22 results. FY26 PAT of ₹117 crore includes an exceptional expense on account of statutory provisioning under new labour codes.
  4. Audit opinions have been consistently unqualified across all seven years Minor - The statutory auditor issued an unqualified opinion on the standalone financial statements in each year from FY2020 through FY2026. The only recurring exception is the ERP audit trail feature, which operated throughout the year except for modifications by certain users and the database-level trail being enabled for only part of the year, in each of FY2024, FY2025, and FY2026.
  5. A related party under common control exists but is disclosed only in the financial statement notes Minor - From FY2020 through FY2026, the Board's Report states the company has no subsidiaries, associate companies, or joint ventures. The FY2024 standalone financial statement notes disclose "an entity under common control is Aditya Consumer Marketing Limited".
  6. The company disclosed a director debarment in FY2023 Minor - For FY2020, the company reported one instance of non-compliance: delay in furnishing prior intimation of the Board meeting held on 28 May 2019 for declaration of dividend under Regulation 29 of SEBI (LODR) Regulations. From FY2021 through FY2026, the company stated each year that no non-compliance, penalties or strictures were imposed by Stock Exchanges, SEBI or any statutory authority on capital-market matters. On 1 July 2022, the company disclosed that Mr. Nusrat Syed Hassan is debarred from holding the office of director by virtue of a SEBI order or any such authority.
  7. Revenue quality is supported by clean receivable ageing and no customer concentration Clean - The auditor identified revenue recognition as a Key Audit Matter for FY26, covering ₹2,671.62 crore of revenue from operations. No trade receivables were outstanding beyond 6 months from the due date as of FY26, and no single customer accounted for more than 10% of revenue. The company has operated in a single reportable segment, trading of electronic goods, consistently from FY20 through FY26.

What to watch

Bottom line: This is a disclosed and audited record with clean receivable ageing and no regulatory action since FY2021. The risk sits in two places: the persistent gap between reported profit and operating cash flow, which has left cumulative CFO covering only 0.32x of earnings over nine years, and a promoter-controlled board that sets its own pay through special resolutions while the family has sold ₹441 crore of stock. Watch the AGM vote on promoter remuneration and whether cash conversion improves.
