BFL Asset Finvest Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

BFL Asset Finvest's record carries a clean audit trail on the surface: unqualified opinions for seven straight years and a simple standalone structure. But the underlying disclosures tell a different story: undisclosed debt, a collapsing revenue base, and a regulator's finding of fund diversion that the company paid without appealing.

Key findings

  1. Company reported no secured borrowings while ₹4.24 crore in unsecured term loans went undisclosed Major - As of March 31, 2024, BFL Asset Finvest had unsecured term loans of ₹2.24 crore from Allied Barter Pvt. The FY2024-25 Board's Report said the company has "no secured external borrowings" without disclosing these loans, and the FY2023-24 Corporate Governance report said no debt instrument was issued while the loans existed. The same no-default statement appeared in FY2025-26 and FY2019-20; the FY2019-20 report disclosed a ₹0.48 crore unsecured term loan from Allied Barter Pvt. Ltd..

The FY2026 CARO response states no cash losses were incurred in FY2026 or FY2025, despite a reported PAT of -₹5.58 crore for FY26. The FY2022 CARO response disclosed that land purchased in 2001 for ₹0.83 lakh was not shown in financial statements due to "inadvertent negligence," and that listed equity shares of ₹1.39 crore bought on January 11, 2022 could not be transferred until May 25, 2022 due to "oversight".
  4. Related-party loans disclosed in some years, denied in others Major - The FY2023-24 and FY2022-23 Corporate Governance reports state the company provided loans to firms in which directors are interested, while the FY2024-25 and FY2025-26 reports state no such loans were provided. 5. The penalty related to FY2016-17 conduct, including the alleged reclassification of a promoter entity as a public shareholder without BSE approval and the alleged provision of funds to subscribe to the company's own shares in a preferential allotment. The penalty was paid in full on June 06, 2023 by Baid Finserv on the company's behalf and fully reimbursed. The company considered appealing to SAT but did not file an appeal after payment.

The appointment was approved with 99.9992% votes in favour.
  8. Company has consistently operated as a standalone entity with no subsidiaries, associates, or joint ventures Clean - BFL Asset Finvest has reported no subsidiary, associate or joint venture as on March 31, 2026, with identical disclosures across FY2020-21 through FY2025-26. CARO confirms this structure, and the company is not a Core Investment Company. The company is registered with RBI as a Non-Deposit Taking NBFC under the Base Layer classification.

What to watch

Bottom line: This is a record with a clean audit surface but recurring disclosure gaps underneath. The core risks are the undisclosed ₹4.24 crore in term loans, the deteriorating cash position where burn exceeds reported losses, and the SEBI penalty for fund diversion that was paid without appeal. The alternating related-party loan disclosures and the governance churn at board and company secretary level merit attention. Watch the FY2026-27 audit and the 31st AGM for whether these patterns continue.
