BN Agrochem Ltd is a listed shell that was acquired in late 2022 and is being rebuilt as an integrated edible-oil company - it was once a dormant entity with a solvent-extraction past, but new promoters from the BN Group are now using it to consolidate a collection of related manufacturing and trading businesses under one roof. The recurring approach is to acquire or amalgamate operating assets that the promoter group already controls, funding the build-out with overseas convertible bonds and equity while the company’s own trading operations remain small. Everything the company does - from the tiny domestic trading desk to the overseas subsidiaries and the pending merger - is a step toward becoming a single, listed edible-oil manufacturer with a national footprint. # Business segments A single engine being assembled from three directions - a small trading desk that generates today’s revenue, a large manufacturing merger that will deliver tomorrow’s scale, and a set of overseas subsidiaries and strategic investments that are still under construction. ## 1. Edible-oil trading: the operating heartbeat while the factory is built **A domestic B2B desk that buys and sells edible oil and seeds without owning a plant, generating the company’s only revenue while the amalgamation is pending.** - **Pure trader, no factory** - the company recognises revenue at the point goods are dispatched to the carrier, acts as the principal because it controls the goods before transfer, and carries no inventory at year-end, which is the signature of a back-to-back trading model. - **Concentrated customer base** - two customers, Vinay Enterprises and Arasum Agrochem Pvt Ltd, together contributed roughly 40% of revenue in FY25, so the book depends on a handful of relationships. - **Short-credit cycle** - normal payment terms are 30 to 60 days from delivery, and revenue is measured after deducting discounts, volume rebates and GST, which keeps working capital predictable for a business of this size. - **Riding a branded-oil wave** - the Indian edible-oil market is shifting from loose to packaged product, with branded oil expected to capture close to 90% of value in the coming five years, and the company is positioning itself to supply that demand as it scales. ## 2. Manufacturing merger: the real business, bought not built **Three promoter-controlled edible-oil and agri-processing companies are being folded into the listed entity through a share-swap amalgamation, which will transform BN Agrochem from a trader into an integrated manufacturer.** - **Three operating companies, one stroke** - B.N. Agritech (a leading North Indian edible-oil manufacturer), A1 Agri Global (edible-oil manufacturing and trading) and Salasar Balaji Overseas (agricultural produce manufacturing and wholesale) are the transferor entities, all related parties with combined turnover running into thousands of crores. - **No cash, only shares** - the deal is structured as a share exchange: for every 100 shares held in each transferor, shareholders will receive 122, 164, or 301 shares of BN Agrochem, depending on the transferor company, a ratio set by a registered valuer and reviewed by a SEBI Category-I merchant banker. - **Promoter stake jumps from 6% to 58%** - post-amalgamation, the promoter group’s holding rises from 5.93% to 58.21%, and the three transferor companies will be dissolved without winding up, so the listed entity absorbs their assets, debt and operations in one go. - **Regulatory gates cleared** - the scheme has received a no-objection from BSE, approval from the Competition Commission of India, and an NCLT order directing a shareholder meeting, with an appointed date of 1 April 2025. ## 3. Overseas subsidiaries: a global supply chain in waiting **Two wholly-owned subsidiaries in Singapore and London, plus a step-down entity in Liberia, have been incorporated to pursue edible-oil and agricultural-commodity opportunities abroad - but none has yet started trading.** - **Singapore for Asian sourcing** - BN Holdings Singapore PTE Ltd was incorporated in February 2024 with objects covering the manufacture of edible vegetable and animal oils and wholesale of food and beverages, though it remains non-operational. - **London as the capital conduit** - BN Holdings Europe Ltd, incorporated days after the Singapore entity, has received USD 32.80 million in equity infusions from the parent, making it the largest overseas commitment, yet it too had not commenced commercial activities as of FY25. - **Liberia for palm and oilseeds** - BN Europe’s wholly-owned subsidiary, BNPB Industries Liberia Corporation, is authorised to cultivate, process and trade palm and oil seeds, giving the group a potential foothold in West African origination. # Group structure and partners **The listed company sits atop a web of promoter-linked entities, funded by a mix of foreign convertible bonds and equity warrants, with a large strategic investment in an unlisted FMCG venture that shares the same promoter.** - **Promoter as the common thread** - Shri Anubhav Agarwal is the Managing Director & CEO of BN Agrochem and a key personnel of the BN Group, which has been in the FMCG sector since 2011; he is also a common director across the overseas subsidiaries, the amalgamating entities and Epitome Industries. - **FCCBs fund the build-out** - the company issued USD 40 million in unsecured Foreign Currency Convertible Bonds to GRFI Holding Limited, with a 60-month tenure and conversion price of INR 46.35; the investor also gained the right to appoint a non-executive director to the board. - **Warrant money from a global fund** - Global Focus Fund was allotted 17.9 million convertible warrants for INR 82.49 Crores, which were subsequently converted into equity shares and listed on BSE. - **Epitome Industries: a related-party bet on FMCG** - BN Agrochem holds unquoted compulsory convertible preference shares in Epitome Industries India Ltd valued at INR 72 Crore, a company with a common promoter that had nil turnover and was yet to commence production as of the last disclosure.
