Eiko Lifesciences Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Eiko Lifesciences' audit record is clean on its face: six straight years of unqualified opinions with no Key Audit Matters, no qualifications, and clean CARO responses across all clauses. But the company's own filings repeatedly contradict themselves, reporting "no borrowings" while disclosing bank-secured working capital loans, and reporting "no material related party transactions" while seeking approval for loans up to ₹5 crore each to promoter directors and their entities.

Key findings

  1. Promoter loans approved while filings say none exist Critical - The FY2025-26 AGM notice sought approval for related party transactions "likely to exceed 10% of annual consolidated turnover," authorizing loans of "Up to ₹5 Crore" each to two promoter directors and four entities where promoter Siddhant Kabra is Director or Partner. The same annual report states "no material related party transactions" and "no loans/advances in nature of loans given to firms/companies in which directors are interested". At the 6 Sep 2025 postal ballot, promoter votes totalling 5,092,344 were excluded as "interested parties" on the resolution.
  2. "No borrowings" alongside disclosed bank loans Major - The FY2025-26 Annual Report states "Company had no borrowings during the year; no credit ratings required," yet its own notes disclose working capital loans of ₹1.67 crore secured by hypothecation of stock, book debts, factory and office premises, plus personal guarantees of both promoters. As at 31 Mar 2025, the company also had ₹75.51 lakh in secured borrowings from a credit society. The FY2021-22 notes similarly disclosed vehicle loans, overdraft facilities, and credit society borrowings.
  3. Promoter stake rose from 10% to 40% via preferential allotments Major - Promoter shareholding increased from 10.11% post-reclassification in 2022 to 39.91% as of the latest period. On 24 February 2026, the company allotted 6,25,000 shares and 29,50,000 warrants at ₹55 per share to promoters and public, with 25% received upfront. At the 7 January 2026 EOGM, promoter votes of 50,99,788 shares were declared invalid as interested parties, and the resolutions passed with 100% of valid votes in favour.
  4. Three auditor changes in five years, all citing workload Major - M/s A N A M & Associates resigned effective 12 November 2020 citing "logistic problems due to Covid-19". M/s Thanawala & Company, appointed to fill that vacancy, resigned during FY2023-24 citing "preoccupation in other assignment". M/s P S V Jain & Associates was appointed effective 03 September 2024 and signed the FY2025-26 financial statements dated 26 May 2026.
  5. Rapid group build-out after years with no subsidiaries Major - Eiko had no subsidiary, associate, or joint venture in FY2021-22 through FY2023-24, but as of 31 March 2026 has two subsidiaries and two associates. It acquired 25.01% of Reflux Pharmaceuticals in April 2024 and has acquired 31.67% of SSM Formulations, with a preferential issue of ₹14.43 crore for the remaining stake to reach 51%. The FY2024-25 annual report showed non-controlling interest of 49% and non-current borrowings of 2.01 crore.
  6. No litigations reported for six years, then a disputed ₹58 lakh claim Minor - On 18 August 2026, the company disclosed recovery proceedings from IDBI Bank over an alleged ₹58 lakh corporate guarantee from 1986, which it disputes and has taken legal steps against. The FY2025-26 auditor's Rule 11 statement reported no pending litigations. The 7 July 2023 Rights Issue letter of offer also stated no contingent liabilities and no outstanding material litigation.
  7. SEBI fined promoter entity ₹1 lakh; company itself has no findings Minor - On 5 January 2026, SEBI levied a ₹1,00,000 penalty on promoter-group entity Lenus Finvest for non-disclosure of margin pledges under SAST Regulations for transactions between November 2019 and June 2021. Eiko's own FY2025-26 Annual Report states no penalties were imposed on the company by SEBI or stock exchanges. The 44th AGM notice disclosed BSE fines for related party disclosure lapses, one of which was waived.
  8. Six years of clean audit opinions Clean - PSV Jain & Associates issued unqualified opinions for FY2025-26 with no Key Audit Matters, no Emphasis of Matter, and no qualifications. The CARO report confirmed no fraud, no benami proceedings, no wilful defaulter declaration, and no disputed statutory dues. The audit trail feature "operated throughout the year" with no tampering noted. The only issues: a title deed not yet registered in the company's name as of FY2022-23, and a naming typo in the FY2025-26 consolidated report referring to "ASTEC LIFESCIENCES LIMITED".

What to watch

Bottom line: This is a company with a genuinely clean audit record, six years of unqualified opinions, no fraud findings, and an intact audit trail. The risk sits in the gap between what the filings assert and what their own notes disclose: loans to promoters that are called non-material, borrowings that are called non-existent, and a promoter stake that has quadrupled through allotments where promoter votes are excluded as interested. Read the related party and borrowings notes alongside the headline statements, and watch the AGM vote and the SSM acquisition completion.
