EMA India Ltd's FY2025-26 audit is clean on its face, but the record underneath is one of a company being hollowed out and repackaged. The statutory auditor issued an unqualified opinion with no Key Audit Matters, even as the company's own secretarial auditor flagged unfiled ROC forms, a vacant CFO post, and a non-functional website, and the audit-trail exception recurred for a third straight year. The profit itself is a one-time land sale, and the company is now being absorbed into its own promoter via a merger that would lift promoter holding from 48.83% to 73.09%.
Key findings
- Clean audit opinion sits atop unfiled forms, a vacant CFO post, and an abandoned going-concern basis
Major- B.C Jain & Co. issued an unqualified opinion on FY2025-26 with no Key Audit Matters, despite the company having filed a merger scheme and sold its entire land and building at Udyog Nagar, Kanpur during the year. The secretarial auditor reported unfiled ROC e-forms, a CFO office vacant since 14 November 2025, and a non-functional website. The FY2025-26 report carries no going-concern caveat, even though the company's own directors stated in FY2024-25 that accounts were prepared on a non-going concern basis, and the prior two years' reports carried an Emphasis of Matter on that point. - Merger with the 45.03% promoter would lift promoter holding to 73.09% and dissolve the listed entity
Major- On 27 March 2026, EMA India announced a Scheme of Arrangement with Dynalog India Ltd as transferee, a related party holding 45.03% of EMA India's capital. Post-scheme, promoters would hold 73.09% against 48.83% pre-scheme, and the listed company would be dissolved without winding up. The scheme was filed with the Stock Exchange on 15 April 2026 and remains subject to regulatory, shareholder, creditor, NCLT and SEBI approvals. - FY2025-26 profit is a one-time land-sale gain, while three years of losses were routed around reported profit
Major- The company booked an exceptional gain of ₹7.93 crore on sale of its Udyog Nagar land and building, against a carrying value of ₹6.73 lakh. Other income of ₹8.05 crore was 119.1% of profit before tax of ₹7 crore. Losses of ₹61.77 lakh, ₹51.54 lakh and ₹55.63 lakh were adjusted directly under Reserves & Surplus in each of the three prior years, and the deferred tax asset was written off in FY2022-23. - New promoter Dynalog gets omnibus RPT limits of up to ₹9 crore and loan/guarantee approvals of ₹25 crore
Major- Shareholders approved omnibus related-party transactions with Dynalog India Ltd covering goods/services up to ₹3 crore, fixed assets up to ₹1 crore, capital contribution and loans up to ₹4 crore, and securities/guarantees up to ₹1 crore, valid to 30 September 2026. Separate approvals under Sections 185 and 186 permit loans, guarantees and securities up to ₹25 crore for FY2025-26. The RPT and Section 185 resolutions each passed with only 8,375 votes polled, 0.83% of outstanding shares. - Auditor churn: two changes in two years, both citing "preoccupation"
Major- M/s. Rishabh & Co. resigned on 10 August 2023, less than a year into a five-year reappointment, citing "indulgence and pre-occupation in new assignments". B.C. Jain & Co. was appointed to fill the vacancy and confirmed for a five-year term at the 21 September 2023 AGM. The FY2023-24 and FY2024-25 CARO reports both state the resignation was "due to preoccupation of auditor". - Cash and profit diverge sharply, with asset-sale proceeds funding the balance sheet
Major- Cash and cash equivalents rose to ₹4.22 crore from ₹6.64 lakh, "largely from sale of land and building proceeds". CFO/PAT was 2.27x in FY2026 against 0.97x in FY2025, with CFO negative in each of the four prior years. The FY2025-26 statements include a CWIP note marked "Not Applicable" for projects in progress. - No pending litigations at EMA India, while merger counterparty Dynalog discloses ₹5.01 crore in contingent liabilities
Minor- EMA India's FY2024-25 statements state there are no pending litigations impacting financial position. Dynalog India Ltd's Letter of Offer dated 7 November 2025 discloses contingent liabilities of 5.01 crore, including bank guarantees of 4.42 crore, an income tax demand of ₹13.68 lakh, and a legal case of ₹45 lakh.
What to watch
- Merger approvals. The Scheme of Arrangement, filed with the Stock Exchange on 15 April 2026, remains subject to shareholder, creditor, NCLT and SEBI approvals.
- RPT utilisation. Omnibus related-party approvals with Dynalog India Ltd are valid up to 30 September 2026; watch actual transaction amounts against the approved limits.
- Loan and guarantee usage. Section 185 and 186 approvals permit up to ₹25 crore in loans, guarantees and securities for FY2025-26.
- Promoter reclassification. The move of the Bhargava entities from "Promoter" to "Public", approved by the Board on 13 February 2026, is pending regulatory approval.
- CFO vacancy. The CFO position remained vacant as of the secretarial audit report date of 12 August 2026.
Bottom line: This is a record of a listed shell being prepared for absorption into its promoter. The clean audit opinion is real but narrow, and the profit is a one-time asset sale, not an operating recovery. The risk is concentrated in the merger and the related-party approvals that accompany it: read the scheme documents and the RPT utilisation against the limits, and watch whether the CFO post is filled and the audit-trail exception is finally addressed.
