Emmforce Autotech’s record carries three years of unqualified audit opinions and no reported defaults, but the structure of its business demands attention: the company is seeking approval for related-party transactions worth 193% of its own consolidated turnover, most of it with a promoter-owned US entity whose revenue is a fraction of the proposed sales, while cumulative operating cash flow over three years is deeply negative despite rising profit.
Key findings
- Proposed related-party sales exceed consolidated turnover, routed through promoter entities
Critical- The company seeks shareholder approval for sales of ₹120 crore to PROSPEEDWAYS LLC, a US entity wholly owned by promoter directors Ashok Mehta and Neetu Mehta, an amount equal to 106.53% of Emmforce Autotech’s own FY25 consolidated turnover. PROSPEEDWAYS LLC reported turnover of only ₹12.92 crore and net worth of ₹1.05 crore in the preceding year, meaning the proposed purchases would be 227.31% of the counterparty’s own annual turnover. Together with proposed purchases of ₹20 crore from Emmbros Automotives Pvt Ltd (also promoter-owned) and an increase in unsecured loans and guarantees to the loss-making subsidiary Emmforce Mobility Solutions to ₹60 crore, the combined percentages of the three related-party proposals as a share of consolidated turnover are 18.64%, 106.53%, and 68.36%, respectively. - Operating cash flow has lagged profit deeply
Major- Cumulative cash flow from operations over FY2024-FY2026 was ₹-23 crore against cumulative profit after tax of ₹20 crore, a conversion ratio of -1.15 times, while cumulative EBITDA stood at ₹46 crore. In FY2024, CFO was ₹-26.17 crore against PAT of ₹4.09 crore; in FY2025, CFO was ₹-2.54 crore against PAT of ₹8.06 crore; in FY2026, CFO turned positive at ₹5.25 crore against PAT of ₹8.25 crore. The Board attributed a PAT decline in FY2025 to “heavy depreciation cost of subsidiary company which has just commenced its business activities,” and management stated in Q4 FY2026 that PAT moderation reflected manpower hiring and depreciation related to the EMSPL capex, described as “growth-oriented investments made ahead of revenue scale up”. - A promoter-family board seeks five-year reappointments with pay irrespective of profits
Major- The Board consists of Ashok Mehta (Managing Director), Azeez Mehta (Wholetime Director & CFO, and son of Ashok and Neetu Mehta), Neetu Mehta (Non-Executive Woman Director), and two Independent Directors. The company is seeking shareholder approval at the 3rd AGM to reappoint Ashok Mehta as Managing Director for five years from 13 October 2026 at up to ₹10,00,000 per month plus rent-free accommodation, and Azeez Mehta as Wholetime Director for five years at up to ₹5,50,000 per month plus perquisites, both payable irrespective of profits. In the FY2023-24 AGM, all 15,000,000 votes polled came from the promoter group via e-voting; public institutional and non-institutional shareholders holding 5,499,600 shares in total cast zero votes. - An 80%-owned subsidiary with negative net worth sits alongside a planned related-party acquisition
Major- Emmforce Mobility Solutions Private Limited (EMSPL), incorporated on 13 October 2023 and held 80% by the company with the remaining 20% held by promoter directors Ashok Mehta and Neetu Mehta, reported a net worth of negative ₹2.42 crore and a loss after tax of ₹4.19 crore in the period disclosed in the 6 August 2026 AGM notice. The company disclosed in investor presentations dated 27 May 2026 and 19 February 2026 an intention to migrate to the mainboard within approximately one year, followed by acquisition of Emmbros Automotives Pvt. Ltd., a related party. Management stated in the Q4 FY26 transcript that a group company merger is in progress with “a very high possibility that we’ll give you a surprise in the coming few months,” without providing timeline, structure, or valuation details. - Revenue doubled in two years but cash conversion remains weak, and growth rests on a single export order
Minor- Revenue grew from ₹40.07 crore in FY24 to ₹87.54 crore in FY25 and ₹113 crore in FY26, while cumulative CFO over the three years was negative ₹23 crore against cumulative PAT of ₹20 crore. Receivable days stood at 109 in FY26, 116 in FY25, and 189 in FY24. Management confirmed that the FY27 automotive revenue guidance of ₹165 crore implies “INR60 crores increment is just the export order” and “there is no growth in the base number x of that export order,” while the base business showed no underlying growth in H2 FY26 as customers adjusted inventories due to a 25% tariff. - Three years of clean audit opinions, with a single recurring title-deed exception on factory land
Minor- The statutory auditor issued unqualified opinions on standalone and consolidated financial statements for FY2024, FY2025, and FY2026, with no Key Audit Matters, no Emphasis of Matter paragraphs, and an unqualified internal-financial-controls opinion in each year. The audit-trail facility in the accounting software was operated throughout and was not tampered with in all three years. The sole CARO exception, appearing identically in FY2024, FY2025, and FY2026, is that the title deed for factory land at Baddi remains in the name of the erstwhile partnership firm M/s Emmforce Inc and the transfer process is still under process with government authorities.
What to watch
- Reappointment of promoter directors at the 3rd AGM. Outcome of Resolution 5 (Ashok Mehta as MD) and Resolution 6 (Azeez Mehta as Wholetime Director), per the AGM notice dated 6 August 2026.
- Acquisition of Emmbros Automotives. Completion and terms of the proposed acquisition following the planned mainboard migration, as disclosed in investor presentations dated 27 May 2026 and 19 February 2026.
- Group company merger. Outcome of the in-progress merger referenced by management in the Q4 FY26 transcript for the period ended March 2026.
- FY27 revenue guidance. Realisation of the ₹165 crore automotive revenue target, which management states is entirely dependent on the export order with no assumed base-business growth.
- Subsidiary capex returns. Whether EMSPL’s capacity expansion translates into revenue scale-up and improved asset turnover, as management projected “three times this year… three and a half to four times” next year on gross asset value during the Q4 FY2026 call.
Bottom line: This is a disclosed and audited record with no reported defaults or cash losses. The risk sits in the architecture: a promoter family controls both the destination of sales and the destination of capital, the proposed related-party envelope dwarfs the company’s own turnover, and three years of cash flows have not covered reported profit. Watch the AGM vote, the merger terms, and whether the export order converts into collected cash.
