Emrock Corporation is a shell that woke up. For two decades it was a near-dormant Mumbai-based trader of Transfer of Development Rights (TDR) - essentially unused building potential - that recorded no sales for five straight years. In early 2025 a new promoter group from Gujarat took control, paid roughly Rs. 7.50 per share for a two-thirds stake, and within months rewrote the company’s purpose clause to add solar energy, pharmaceuticals, construction and hospitality. The recurring approach is visible in every move since: the company enters a new sector by altering its legal objects, signing a government contract or incorporating a partnership, and then funding the build-out through warrant conversions that have already tripled the paid-up equity base. # Business segments Four engines at different stages - a legacy TDR business that barely turns, a contracted solar portfolio under construction, and two early-stage bets in pharmaceuticals and hospitality, each seeded through a partnership structure. ## 1. Real estate: the legacy TDR book that time forgot **A single-inventory trading desk for Mumbai building rights that has been paralysed for years by regulatory delays and a frozen real-estate market.** - **Trades paper, not property** - the company buys and sells Transfer of Development Rights (TDR), which are marketable certificates representing unused Floor Space Index (FSI) that a developer can use to build taller or denser than zoning would otherwise allow. - **One inventory line, unchanged for years** - the TDR work-in-progress stock sat at Rs. 450.33 lakhs from at least March 2020 through March 2022, and the company recorded nil turnover from TDR sales in FY20, FY21, FY22, FY23 and FY24 because demand collapsed. - **Regulatory freeze is the root cause** - the full implementation of Mumbai’s New Development Control & Promotion Regulation 2034 has been delayed, which stalled project approvals and crushed the market for the TDR the company holds. - **Valuation is a management estimate** - because TDR inventory cannot be independently valued by a third party, the company relies on its own assumptions to determine what the rights are worth, a practice flagged repeatedly in audit notes. - **Objects now cover full construction** - in April 2025 the company expanded its charter to include residential, commercial, roads, bridges, ports and airports, signalling an intent to move beyond TDR trading into actual development work. ## 2. Solar energy: a contracted power portfolio under construction **The company has signed 25-year government power-purchase agreements for 24 MW of solar capacity across six Gujarat sites, with panels ordered and a commissioning deadline of mid-2027.** - **Fixed-price, long-dated offtake** - six PPAs with Uttar Gujarat Vij Company Limited (UGVCL) lock in a tariff of Rs. 2.76 per unit for 25 years, covering a minimum of roughly 462 lakh units per year across six village locations, which works out to approximately Rs. 12.75 crore in annual revenue once all plants are running. - **Panels already procured** - a single material order worth roughly Rs. 104.52 crore was placed with Greenpill Renewable Energy Limited for solar PV modules to equip all six 4 MW AC projects, with delivery and execution due by 24 May 2027. - **Weather and grid risk are real** - the company’s own filings flag that solar generation is vulnerable to monsoons, cloud cover and dust, and that inadequate transmission infrastructure and curtailments by state distribution companies (DISCOMs) can cut into output. - **A subsidiary now houses the energy push** - in May 2026 Emrock acquired a 50.49% stake in Emrock Energy Private Limited, which is also planning a Bio-CNG plant with yearly capacity of 1,600 tonnes of Bio-CNG plus fermented organic manure, at an estimated cost of Rs. 30-33 crore. ## 3. Pharmaceuticals: a charter and a planned partnership **The company has written a sweeping pharmaceutical objects clause and approved an LLP to enter the sector, but has not yet disclosed a manufacturing asset, a product or a customer.** - **Objects cover the entire drug universe** - the amended charter permits manufacturing and trading in allopathic, ayurvedic, herbal, nutraceutical and veterinary products in every conceivable form, from capsules and injectables to inhalers and surgical dressings. - **India’s generic scale is the backdrop** - the company notes that India already supplies over 50% of global vaccine demand, 40% of US generic demand and 25% of UK medicine, framing the opportunity as large and export-driven. - **Entry via a 50:50 LLP** - in May 2026 the board approved incorporating a Limited Liability Partnership with external partners for pharmaceutical manufacturing, trading, marketing and distribution, with Emrock holding a 50.50% stake and profit share. ## 4. Hospitality: a restaurant LLP seeded by the promoters **The company holds a 39% stake in a newly incorporated hospitality LLP that is yet to commence operations, with the promoters themselves serving as designated partners.** - **A full hospitality charter** - the objects clause added in September 2025 covers hotels, resorts, restaurants, banquets, cafes, spas, clubs, breweries, pubs and vacation villas, both in India and abroad. - **The vehicle is EMROCK SIGNATURE HOSPITALITY LLP** - incorporated in November 2025 with a capital contribution of Rs. 39,000 in cash from Vaghani Techno-Build Limited, giving it a 39% stake and profit share; the LLP is classified under “Restaurants without bars”. - **Promoters run the show** - the LLP’s designated partners are the same individuals who control Emrock, making it a related-party vehicle that had not begun business as of its incorporation date. # Group structure and partners **A newly installed Gujarat-based promoter group controls 73.87% of the company, has seeded two partnership vehicles for new businesses, and is funding expansion through a large warrant programme that has already tripled the equity base.** - **Control changed in January 2025** - Jatinkumar Tulsibhai Patel, Parth Tulsibhai Patel and Arjunkumar Jagdishbhai Patel acquired 67.24% from the founding Savla family at Rs. 7.50 per share, followed by a mandatory open offer at Rs. 11 per share; the Savla directors resigned on 7 January 2025 and the Patels took board and management control. - **Warrants are the funding engine** - the company allotted 2.35 crore convertible warrants at Rs. 11 each in May 2025, with the promoter group taking roughly 1.74 crore warrants; by December 2025, 1.06 crore warrants had been converted, lifting paid-up capital from Rs. 5.22 crore to Rs. 15.82 crore, with 1.29 crore warrants still outstanding. - **Two partnership vehicles extend the group** - Emrock Energy Private Limited (50.49% subsidiary, acquired May 2026) houses solar and Bio-CNG projects, while EMROCK SIGNATURE HOSPITALITY LLP (39% stake, incorporated November 2025) holds the hospitality charter; a third LLP for pharmaceuticals was approved in May 2026. - **The registered office has moved to Ahmedabad** - effective September 2025 the company shifted from Mumbai to 715, Anushri Accolade-2, Science City Road, Sola, Ahmedabad, Gujarat, aligning its base with the new promoters’ geography.
