FGP Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

FGP Ltd’s record is a study in two halves. Seven years of unqualified audit opinions, clean CARO reports on fraud and fund diversion, and a resolved title-deed dispute confirm the books were examined and checked out. The other half is harder to reconcile: consolidated profit is 99% at subsidiaries the company says do not exist [MINOR], and a new commodity-trading division that quintupled revenue delivered only ₹1.48 lakhs in segment profit before tax.

Key findings

  1. Revenue quintupled on commodity trading that earned only ₹1.48 lakhs Major - Total income rose to ₹2.53 crore in FY2025-26 from ₹50.70 lakhs in FY2024-25, driven by a new Commodity Trading division commenced after a Special Resolution on September 12, 2025. Segment revenue from Commodity Trading was 1.71 crore, yet segment profit before tax was only ₹1.48 lakhs, against ₹11.18 lakhs from the legacy Business Centre/Rental segment on revenue of ₹26.18 lakhs.
  2. Contingent liabilities are static and a decade-old tax dispute ended with a refund Minor - Claims against the company not acknowledged as debts stood at ₹3.19 crore in FY2025-26, unchanged from the prior year. A leased-property dispute with amount indeterminate and an excise appeal of ₹51.91 lakhs are also unchanged from the prior year. The company received a refund of ₹1.28 crore including interest of ₹51.91 lakhs on May 10, 2022 under the Central Excise Act, 1944, and a rectification order dated September 1, 2025 for Assessment Year 2010-11 determined a refund including interest of ₹11,42,558.
  3. A single BSE fine of ₹1,180 is the only regulatory action in seven years Minor - BSE Limited imposed a fine of ₹1,180 for non-compliance with the requirement to appoint a qualified Company Secretary as Compliance Officer in FY2024-25. Corporate governance reports from FY2019-20 through FY2025-26 state that no other penalties or strictures were imposed by stock exchanges, SEBI, or statutory authorities, and a Practicing Company Secretary certificate dated April 29, 2026 confirms no Director was debarred or disqualified.

What to watch

Bottom line: This is a record where the audit and regulatory trail is clean, but the financial structure is not. The consolidated profit belongs almost entirely to subsidiaries that do not appear in any filing, and the new commodity-trading business that drove the revenue surge generated negligible profit. The governance pattern, persistent public-shareholder dissent met with promoter voting power, and KMP remuneration repeatedly put to vote as related-party transactions, adds a layer that sits outside the audit opinion. Watch the excise appeal and the eviction notices for resolution, and read the subsidiary disclosure with the consolidated numbers in hand.
