Industrial & Prudential Investment Company’s record is clean on audit and structure: seven years of unqualified opinions, no Key Audit Matters, and a simple two-tier group with a single associate. Two things deserve attention. First, operating cash flow has covered only 30% of profit over a decade even as dividends per share rose nearly fivefold and a buyback was executed. Second, IEPF transfer delays recur across at least six financial years, with shares still outstanding.
Key findings
- Operating cash flow covers only 30% of a decade’s profit, while dividends rose 4.8× and a buyback was done
Major- Over the ten years through FY2026, cumulative cash from operations of ₹93 crore covered only 0.30× of cumulative profit less other income. Dividends per share climbed from ₹25 in FY2020-21 to a proposed ₹120 for FY2025-26, and the company bought back 69,500 shares at ₹1,200 each for ₹8.34 crore in FY2020-21, funded entirely from free reserves. Return on capital employed was 7.51% in FY2026 and has stayed between 6.5% and 7.5% across the last four years. - Audit opinions are unqualified across all years with no Key Audit Matters, but the IEPF delay is flagged annually
Minor- The standalone and consolidated audit opinions were unqualified every year from FY2020 through FY2026, and no material Key Audit Matters were identified. The auditor nevertheless reported a delay in transferring unclaimed dividend to the IEPF in each of those seven years. The internal financial controls opinion was unmodified throughout, and CARO clause xi(a) confirms no fraud was noticed or reported in any year. - Auditor Lodha & Co. resigned mid-term citing RBI guidelines; replacement S. Jaykishan was appointed with unanimous shareholder approval
Minor- Lodha & Co. resigned during FY2022, with the resignation letter dated 12 November 2021, and the company stated the resignation was “in compliance with RBI Guidelines”. S. Jaykishan was appointed to fill the vacancy at an EGM on 4 February 2022 with 100% of valid votes in favour, and shareholders later approved a five-year term through FY2026-27, again with 100% support. The company reported zero audit fees paid or payable on a consolidated basis in every year from FY2022 through FY2026. - The promoter family controls the board with negligible independent dissent, and KMPs are shared with the unlisted holding company
Minor- Promoters held 68.17% of the company with zero shares pledged. The Chairman & MD, CFO, and Company Secretary are all key managerial personnel of the unlisted holding company Paharpur Cooling Towers Limited and draw no remuneration from Industrial & Prudential Investment Company. The Chairman has received only sitting fees across every year from FY2020 through FY2026. A special resolution in the FY2026 annual report seeks to continue him as Chairman & MD after he turns 70 on 21 November 2026, for the remainder of his term to 31 January 2027.
What to watch
- Chairman’s tenure extension. A special resolution to continue Mr. Gaurav Swarup as Chairman & MD beyond age 70 requires shareholder approval at the AGM following the FY2026 annual report; his current term expires on 31 January 2027.
- Outstanding IEPF shares. Transfer of approximately 1,338 shares for base year 2010-11 remains pending as of the FY2025-26 annual report.
- Auditor term expiry. S. Jaykishan’s five-year term expires at the conclusion of the AGM for FY2026-27.
- Dividend approval and cash conversion. The proposed final dividend of ₹120 per share for FY2025-26 is subject to shareholder approval, and the FY2026 CFO/PAT ratio stands at 0.37×.
Bottom line: This is a disclosed and cleanly audited record with a simple structure and no evidence of fraud or extraction. The risk sits in the gap between reported profit and operating cash flow, which has been wide and persistent for a decade, while shareholder payouts have risen steadily. Read the dividend and the IEPF backlog together, and watch whether the cash conversion ratio improves from the FY2026 level.
