IST Ltd's record carries a persistent gap between what it reports as profit and the cash that profit generates, with the latest year's operating cash flow covering barely half of reported earnings. The group's earnings are also heavily concentrated in a single subsidiary whose accounts the principal auditor has never examined, while promoter-family pay and a long-pending property title raise questions that unqualified audit opinions do not answer.
Key findings
- Reported profit is not converting to operating cash flow
Major- Consolidated CFO/PAT fell from 1.39x in FY23 (CFO ₹114cr vs PAT ₹81.73cr) to 0.04x in FY24 (CFO ₹5.39cr vs PAT ₹126cr), recovering only to 0.30x in FY25 and 0.55x in FY26. Other income of ₹148cr drove 71.5% of the latest year's PBT of ₹207cr, and 73% of consolidated PAT of ₹164cr sits at subsidiaries versus ₹43.66cr standalone. - Promoter-family remuneration flows through a wholly owned subsidiary
Major- Two promoter daughters-in-law each received shareholder approval on 24 March 2026 for a 104% pay rise to ₹60 lakh per annum in Gurgaon Infospace Limited, effective 1 January 2026, with a ₹1 crore cap and 10% annual enhancement. In the postal ballot on both resolutions, promoter votes totalling 8,155,104 were cast but treated as invalid, while promoter votes polled were 0. The 81-year-old promoter executive director, Mr. Suresh Chand Jain, was re-appointed for two years from 14 August 2026, with guaranteed minimum remuneration even in years of no or inadequate profits. - The Noida sub-lease title deed pending registration has grown to ₹77.25 crore
Major- The consolidated carrying value of the sub-lease title deed pending registration stood at ₹77.25 crore as at 31 March 2026, with the standalone exposure at ₹46.95 crore. Auditors issued unqualified opinions every year from FY2019-20 through FY2025-26, while the CARO report each year noted the title deed exception for the Noida property. - The principal auditor relies solely on other auditors for the subsidiary
Major- The subsidiary's total assets audited by other auditors grew from ₹660.49 crore in FY2019-20 to ₹1,468.84 crore in FY2025-26, with net profit after tax of ₹116.13 crore in the latest year. The consolidated auditor's report for every year from FY2019-20 through FY2025-26 stated the opinion was based solely on other auditors' reports for both the subsidiary and the associate. - Consolidated profit is dominated by the subsidiary
Major- Gurgaon Infospace Limited, the sole material subsidiary, contributed ₹116.13 crore of the ₹164 crore consolidated PAT in FY2025-26, up from ₹106.14 crore in FY2024-25. The associate, IST Steel and Power Limited, in which IST Ltd held 30.80%, reported net profit of ₹89.94 lakh in FY2025-26, of which ₹27.70 lakh was attributable to IST Ltd; net worth attributable to IST Ltd's shareholding was ₹20.40 crore as of 31.03.2025, down from ₹20.41 crore as of 31.03.2024. - Revenue is concentrated in a handful of external customers
Minor- In FY2025-26, the manufacturing segment derived ₹24.79 crore from two external customers, while the SEZ segment derived ₹58.12 crore from five customers. Trade receivables were considered high quality with no lifetime expected credit losses recognized in FY2022-23. - Recurring minor SEBI LODR compliance failures
Minor- IST Ltd failed to submit its Annual Report within the period prescribed under Regulation 34 of SEBI LODR, as noted in the secretarial audit report dated 13-08-2026. Earlier lapses include a ₹9,440 penalty for delayed investor complaint redressal in FY2023-24, a delayed Independent Woman Director appointment completed on 11 January 2021, and delayed corporate governance filings in FY2020-21. No significant or material regulator orders impacting going concern or future operations were reported in any year from FY2019-20 through FY2025-26. - The FY2023-24 IFC opinion was dated one year early
Minor- The standalone IFC opinion in Annexure B was stated "as at March 31, 2023" rather than March 31, 2024. The FY2022-23 Secretarial Audit Report noted delayed filings including AOC-4 XBRL, MGT-7, Form CSR-2, and delayed Related Party Transaction disclosure under Regulation 23(9).
What to watch
- FY2026-27 annual results. Whether CFO/PAT conversion improves above FY26's 0.55x or reverts toward FY24-FY25 weakness.
- Borrowing cost capitalisation. Whether borrowing costs remain nil-capitalised for a third consecutive year in the FY2026-27 annual report.
- Dividend decision. Whether any dividend is recommended after the FY2020-21 nil dividend decision.
Bottom line: This is a consistently audited record with unqualified opinions every year, but the quality of earnings deserves scrutiny: operating cash flow has lagged reported profit for three straight years, and the profit that does exist comes largely from a subsidiary the principal auditor never examined. The risk is structural, a group where the listed entity's earnings, its promoter pay, and its largest asset title all sit outside direct shareholder and auditor visibility. Watch the FY2026-27 cash conversion and the AGM vote on the promoter's re-appointment.
