Karbonsteel Engineering's audit record is clean on its face: unqualified opinions every year, no fraud reported, no repayment defaults, and no pledged promoter shares. But the auditor has repeatedly been unable to confirm the two biggest balance-sheet lines, the company is asking shareholders to approve borrowing capacity eight times its actual debt, and cash generation has lagged reported profit for three straight years.
Key findings
- Shareholders are asked to approve ₹400 crore borrowing capacity against ₹55 crore of actual debt
Major- The Board seeks approval at the 15th AGM on September 23, 2026 to raise borrowing limits under Section 180(1)(c) to ₹400 crore, superseding all previous resolutions. Actual borrowings as of FY2025-26 were ₹55.35 crore, of which 82% was short-term. All borrowings are secured by personal guarantees of the Shah family and six promoter-linked properties valued at roughly ₹40 crore. - Unqualified opinions, but the auditor cannot confirm receivables or creditors, and income tax of ₹4.03 crore went unpaid
Major- The FY2025-26 opinion is unqualified, issued by Rao and Shyam, dated 30th May 2026. The report carries an Emphasis of Matter, a special call-out, that the auditor could not confirm Trade Receivables or Sundry Creditors because confirmations were unavailable, with comfort obtained only through alternate procedures. A mid-year review dated 13th Nov 2025 flagged that the company had filed its income tax return but not paid ₹4.03 crore of liability as of 30.09.2025. - Cash generation is weak relative to profit, with negative free cash flow for three years
Major- Free cash flow was negative in FY26 (₹-10.37 crore), FY25 (₹-3.28 crore), and FY24 (₹-4.35 crore), while profit was positive in each year. Cumulative operating cash flow of ₹49 crore covered only 0.39x cumulative EBITDA of ₹128 crore over FY21-FY26. Capital work-in-progress stood at ₹23.48 crore, 61% of net PP&E, with a separate ₹3-3.5 crore solar expansion planned. - Revenue quality is strained by unconfirmed receivables, a bad-debt write-off, and 94.7% concentration in Gujarat
Major- For the six months ended September 2024, 94.70% of revenue came from Gujarat. The auditor's report dated 13 Nov 2025 again stated it was unable to comment on receivables and creditors. Reported FY26 profit of ₹10.51 crore was normalised to ₹16.56 crore after adding back a ₹1.65 crore bad-debt write-off, ₹2.40 crore of rental cost, and ₹1.84 crore of plant-rundown costs. - Four Shah family members are lenders to the company, with ₹10.58 crore outstanding
Minor- Long-term borrowings from key management personnel and relatives totalled 10.58 crore (₹10.58 crore) as of the latest pre-IPO period, spread across Shrenik Kirit Shah, Kirit Shah, Bhavin Kirit Shah, and Mittal Shrenik Shah. Trade payables to two of them were a further ₹12.26 lakhs. - Litigation is modest but includes an admitted inability to identify MSME dues across four periods
Minor- The company disclosed 2 direct tax cases of ₹7.67 lakh and 3 other pending litigations of 1.44 crore. It filed a claim of ₹78.89 lakh as an operational creditor in the insolvency of Furnace Fabrica (India) Ltd, admitted by NCLT Kochi for a ₹64.74 crore default. In its DRHP, the company stated it was unable to identify MSME dues for FY 2021-22, FY 2022-23, FY 2023-24, and the stub period September 2024. - Promoter couple hold board control and fixed remuneration, with no share pledges
Minor- Shrenik Kirit Shah was re-designated Chairman and Managing Director for five years from July 01, 2024, with remuneration not exceeding ₹36 lakhs per annum, approved by shareholders on July 05, 2024. His wife, Mittal Shrenik Shah, was designated Whole Time Director on the same terms at ₹24 lakhs per annum. Promoter shareholding stood at 51.78% with zero pledge.
What to watch
- Borrowing capacity vote. The 15th AGM on September 23, 2026 will vote on raising borrowing limits to ₹400 crore and creating security on all assets.
- Managing Director re-appointment. Mr. Shrenik Kirit Shah, retiring by rotation, faces a vote at the same AGM on September 23, 2026.
- Expansion capex. Completion of the 54,000-ton expansion and the additional ₹10-15 crore planned for FY27.
- ACC order delivery. The ₹101.01 crore order for Air Cooled Condenser structures, announced 17th Apr 2026, is due within 10 months.
- Unpaid income tax. No scheduled date has been identified for the ₹4.03 crore liability flagged in the auditor's report dated 13th Nov 2025.
Bottom line: This is a disclosed and audited record with clean opinions and no pledged shares. The risk sits in the gap between the reported numbers and what the auditor could actually verify, receivables and creditors went unconfirmed, cash flow lagged profit for three years, and the company is seeking eight times its current debt capacity. Watch the AGM vote on September 23, 2026, and whether the auditor's next report closes the confirmation gap.
