Kilburn Engineering's record carries a clean audit opinion and a clean regulator-action history, but the financial statements repeatedly disclose the same underlying problem: money lent to promoter-group companies that was never recovered, and profits that do not convert into operating cash. The most serious item is the provision for the entire outstanding inter-corporate deposits of ₹9,950.18 lacs, together with a write-off of ₹2,738.72 lacs of accrued interest, recognised as an exceptional loss of ₹12,688.90 lacs for FY2020-21, funded by term loans of ₹95 crore raised in earlier years that were not used for their stated purposes and were fully deployed as ICDs to group companies.
Key findings
- Promoter-group ICDs fully provided for, funded by diverted term loans
Critical- Kilburn recognised a provision for the entire outstanding Inter-Corporate Deposits (ICDs) of ₹9,950.18 lacs and wrote off ₹2,738.72 lacs of accrued interest as an exceptional loss of ₹12,688.90 lacs for FY2020-21. Term loans of ₹95 crore raised in earlier years were not used for their stated purposes and were fully deployed as ICDs to group companies, per the statutory auditor for FY2019-20. The ICDs of ₹9,920.96 lacs and accrued interest remained outstanding and recoverable from promoter-group companies as on 31 March 2022, with the auditor stating the loans were prejudicial to the company's interest. - Reported profit is not converting to operating cash
Major- Standalone CFO was ₹-17.76 crore in FY2025-26 and ₹-9.82 crore in FY2024-25, against PAT of ₹96.20 crore and ₹62.39 crore. Cumulative CFO over FY2024-FY2026 was ₹-2 crore against cumulative PAT of ₹209 crore. Receivable days rose from 86.84 in FY2024 to 117 in FY2026, and free cash flow turned from ₹10.38 crore in FY2023-24 to ₹-44.99 crore in FY2024-25. - Clean audit opinions since FY2021, but earlier CARO reports flagged promoter-group ICDs
Major- The FY2019-20 audit opinion was qualified because the auditor could not determine recoverability of ICDs of ₹108.16 crore and accrued interest of ₹19.27 crore from group companies. In FY2021-22, CARO stated ICDs of ₹9,920.96 lacs were prejudicial to the company's interest, repayable on demand with no stipulated schedule. The FY2019-20 CARO also stated term loans of ₹95 crore were fully deployed as ICDs to group companies. - "Net debt-free" claim rests on a balance sheet with lease liabilities, supplier finance, and a ₹70 crore unsatisfied charge
Major- The Group's "net debt-free" position defines net debt as interest-bearing borrowings less cash, excluding lease liabilities and supplier-finance obligations. A charge of ₹70 crore in favour of RBL Bank remained pending registration of satisfaction with ROC as at 31 March 2023. The RBL Bank Resolution Plan restructured ₹10,400 lacs of principal and interest via equity, preference shares, and a term loan. - Promoter control rebuilt through 2021 debt restructuring; director pay has escalated
Major- Promoter shareholding fell from 60.39% to 28.38% under the RBL Bank debt restructuring announced 4 March 2021, with Firstview Trading receiving 82,00,000 shares and RBL Bank receiving 67,50,000 shares. Mr. Amritanshu Khaitan, a promoter director, was recommended commission of ₹50,00,000 for FY2025-26 against ₹2,50,000 for each other non-executive director, requiring a Special Resolution. Promoter insider disposals totalled ₹33.28 crore across four events between 25 March 2025 and 25 March 2026. - Acquisition goodwill tested annually; McNally Bharat investment written down to ₹0.01
Major- Kilburn acquired 100% of Monga Strayfield for ₹123 crore and M.E. Energy for ₹98.7 crore, with goodwill on the M.E. Energy acquisition tested annually for impairment. The investment in McNally Bharat Engineering was fair valued to ₹0.01 per share as the investee is under CIRP. No impairment was considered necessary on PPE per Ind AS 36 reassessment in FY2026. - Revenue recognition relies on management judgment; two customers contributed ₹157.66 crore
Major- Revenue from two customers each exceeding 10% of total revenue was ₹15,765.64 lacs in FY2026, up from ₹79.97 crore in FY2024-25. The auditor flagged revenue recognition from design, construction and commissioning contracts as a Key Audit Matter, citing judgment over whether performance obligations are satisfied over time or at a point in time. Receivable days reached 117 in FY2026. - Profits rest on a ₹34.27 crore deferred tax asset from the ICD write-off
Major- Kilburn recognised deferred tax assets of ₹34.27 crore as at 31 March 2021 consequent to the FY2020-21 exceptional loss on ICDs. The standalone balance sheet moved from deferred tax liabilities of ₹132.11 lacs as at 31 March 2025 to deferred tax assets of ₹19.52 lacs as at 31 March 2026, with tax income of ₹151.63 lacs recognised in profit or loss during FY2025-26. As at 31 March 2022, ICDs of ₹9,920.96 lacs and accrued interest of ₹2,738.72 lacs remained recoverable despite the full provision recognised in FY2020-21. - Clean regulator-action record across FY2020-FY2026
Clean- The only regulatory penalties were BSE fines of ₹2,000 for a one-day delay in filing a corporate governance report and ₹76,700 for a delayed related-party transactions statement. For each year from FY2020 through FY2026, the Board's Report states no significant or material orders were passed by Regulators impacting going concern or future operations. A Certificate of Non-Disqualification of Directors was issued each year from FY2020 through FY2026.
What to watch
- Shareholder vote on enhanced guarantee. Resolution No. 6 at the FY2025-26 AGM seeks approval for a ₹117.30 crore corporate guarantee limit from Firstview Trading in favour of PNB Investment Services, recommended by the Audit Committee and Board on 14 August 2026.
- FY27 revenue guidance. Management maintains ₹700 crore consolidated revenue guidance despite Q1 FY27 revenue of approximately ₹117 crores, stating guidance could change "in the next 2 months".
- Capacity expansion completion. Management expects capacity expansions at Kilburn Engineering and M.E. Energy to complete by end October 2026.
- AGM remuneration resolutions. FY2025-26 AGM resolutions cover revised remuneration for Mr. Ranjit Pamo Lala and Mr. Anil Somshekar Karnad effective 1 April 2026, and ₹50,00,000 commission to Mr. Amritanshu Khaitan.
- ₹70 crore charge satisfaction. The charge in favour of RBL Bank remains pending registration of satisfaction, awaiting a No-Dues Certificate as disclosed in FY2022-23 financial statements.
Bottom line: This is a company with a clean audit opinion and clean regulatory history, but the record repeatedly shows the same pattern: money lent to promoter entities that was never recovered, and reported profits that do not show up in operating cash. The ₹99.5 crore ICD provision and the ₹27.39 crore interest write-off, together forming the ₹126.89 crore exceptional loss, were funded by diverted term loans, and are the central events to understand. Watch whether the FY27 revenue guidance holds, and whether the outstanding promoter-group ICDs ever get a recovery date.
