Kwality Pharmaceuticals’ record is a study in ambition running ahead of internal discipline: six years of unqualified audit opinions sit alongside a ₹30.26 crore disputed GST demand, a decade of cash flows that cover less than half of reported operating profit, and receivables that have stretched to 203 days as the company targets ₹1,000 crore in revenue by FY29.
Key findings
- Two new GST demands total ₹36.56 crore, while older product-quality litigations remain unresolved
Major- The company faces a Show Cause Notice proposing a ₹30.26 crore demand for alleged wrongful ITC availment, stayed by the Punjab & Haryana High Court. A separate ₹6.30 crore IGST refund demand is now before the same High Court after the Commissioner of Appeals dismissed the company's appeal. Product-quality litigations remain pending, with management stating the financial impact “cannot be ascertained”. - Operating cash flow has persistently lagged reported profits, and a large capex programme is being funded by stretching working capital
Major- Cumulative CFO of ₹260 crore was only 0.46x cumulative EBITDA of ₹567 crore over the ten years to FY26. In FY26, CFO was ₹16.59 crore against PAT of ₹67.35 crore, a CFO/PAT ratio of 0.25x. Management stated that the ₹46-50 crore capex done in FY26 was financed with existing working capital and bank loans, and that future capex of ₹90 crore in FY27 and ₹90-100 crore in FY28 is expected to be funded from own revenues as the working capital cycle improves. - Debtor days reached 203 in FY26, with ₹60-70 crore stuck in delayed MENA government receivables, while management guides for revenue to double to ₹1,000 crore by FY29
Major- Trade receivables totalled ₹28,121.97 lakh as at 31 March 2026, with ₹1,002.09 lakh outstanding in the 1-2 years bucket and ₹89.74 lakh in the 2-3 years bucket. Management stated that ₹60-70 crore of receivables were stuck for 1.5-2 quarters, with only 40% recovered post-March 2026. Revenue from Algeria alone was approximately ₹80-90 crore in FY26, and management expects Algeria to contribute 15-16% of the ₹1,000 crore FY29 revenue target. - Unqualified audit opinions across all six years, but the auditor flags persistent GST/TDS deposit delays, a large disputed GST demand, and an unaudited foreign subsidiary every year
Major- CARO clause (vii)(a) reports that TDS and GST were deposited after due dates with interest and late fees paid in every year from FY2020 to FY2026. The foreign subsidiary Kwality Pharmaceuticals Africa Limitada was not audited in any year, with the auditor stating its financial statements are “not material to the group”. The FY2026 CARO also discloses the ₹30.26 crore disputed GST demand. - Recurring minor procedural non-compliances with BSE and SEBI have resulted in small penalties and regulatory notices over the last three years
Minor- The company incurred a penalty of Rs. 4,720 from BSE for a 2-day delay in submitting its annual report in FY24. In FY22, the company received a notice from BSE regarding trading window violations by designated persons, and the audit committee imposed penalties which were deposited in the SEBI-IPEF account. The Secretarial Audit Report for FY23 noted slight delays in filing information with BSE and that the Structured Digital Database software could not capture all UPSI disseminated during the year. - Accounting framework migrated from Indian GAAP to Ind AS, accompanied by a deferred-tax method change, a prior-period lease adjustment, and a series of large exceptional items that together shape reported profit
Clean- The Company migrated from Indian GAAP to Ind AS after moving from the BSE SME platform to the main board in FY22. Exceptional items include a Covid-related inventory write-off of 7.05 crore and an ITC write-off of 9.48 crore in FY23, a fire loss of 7.1 crore net of insurance in FY24, and an ₹82.94 lakh gratuity adjustment in FY26. The Company changed its deferred tax calculation method from the P&L approach to the Balance Sheet approach effective FY25, and recognised a prior-period lease adjustment of 11.81 crore in FY26.
What to watch
- Resolution of the ₹30.26 crore GST Show Cause Notice. The matter (CWP-34165-2024) was stayed by the Punjab & Haryana High Court as of the FY26 Annual Report.
- Resolution of the ₹6.30 crore IGST refund demand. The civil writ petition (CWP-12033-2026) was pending before the Punjab & Haryana High Court as of the FY26 Annual Report.
- Status of the Mozambique subsidiary. The FY26 Annual Report’s AOC-1 excludes Kwality Pharmaceuticals Africa Limitada while the AGM notice and auditor’s report reference it.
Bottom line: This is a disclosed record with clean audit opinions, but the clean opinions sit atop persistent compliance lapses and a cash-generation engine that has not kept pace with reported profits for a decade. The receivables book is the story: 203 days of sales locked in debtors, a large chunk tied to slow-paying government buyers in North Africa, and a management plan that counts on those same buyers to fund a doubling of revenue. Watch the GST litigation for a binary financial hit, and watch the receivables line in the next two quarters to see whether the guided recovery materialises or the working capital stretch becomes the new normal.
