Mysore Petro Chemicals' audit record is clean on its face: seven consecutive years of unqualified opinions on both standalone and consolidated statements, with no fraud reported. The record underneath is less reassuring. A UK subsidiary acquired for a nominal sum collapsed into administration within nine months, forcing a ₹25.35 crore write-off. Promoter-linked entities have repeatedly absorbed company capital, operating cash flow has been negative or negligible against reported profits for four straight years, and a ₹15.56 crore workmen's award remains unpaid and unprovided.
Key findings

Dividends continued throughout: ₹1.32 crore for FY2025-26, ₹1.65 crore for FY2023-24, ₹1.65 crore for FY2022-23, ₹1.65 crore for FY2021-22, and ₹1.32 crore for FY2020-21. The Raichur project was written off for ₹2.02 crore after capital was deployed. - A ₹15.56 crore workmen's award remains unpaid and unprovided
Major- The Industrial Tribunal, Hubbali, Karnataka directed in April 2024 that the Company pay monetary benefits estimated at ₹15.56 crore in respect of the Phthalic Anhydride Plant at Raichur, closed since July 2013. The High Court of Karnataka stayed execution of the award on 27 December 2024 pending the Company's writ petition, and no provision has been made. Investment commitments in Alternative Investment Fund or Mutual Fund doubled to ₹22.73 crore as on 31 March 2026 from ₹11.33 crore a year earlier. - Reported profits are shaped by related-party gains and write-offs booked as exceptional items
Major- FY2024-25 profit included a ₹14.04 crore exceptional gain on the property sale to associate I G Petrochemicals Limited, offset by a ₹25.35 crore exceptional impairment on Q C Polymer Limited and a ₹2.02 crore write-off of Raichur capital work in progress. The holding company also booked a net loss of ₹11.8 crore on deconsolidation of Q C Polymer Limited as an exceptional item. Level 3 unquoted investments are carried at cost, which management states approximates fair value because cost represents an estimate within a wide range of possible fair values. - Revenue concentration has intensified sharply, with three customers supplying two-thirds of revenue
Minor- Three customers contributed ₹37.21 crore of revenue in FY2025-26 against total revenue of ₹56.40 crore, meaning roughly two-thirds of sales now come from three buyers. Two customers contributed ₹19.19 crore of ₹33.48 crore in FY2024-25, and no single customer represented 10% or more of revenue in FY2023-24 or FY2022-23. Receivables days rose from 86.44 in FY2024-25 to 166 in FY2025-26. - Promoter family consolidated board control after M M Dhanuka's death amid public shareholder dissent
Minor- Shri M M Dhanuka stepped down as Managing Director on 14 February 2025 and passed away on 19 April 2025. Shri Mayank Dhanuka was appointed Non-Executive Director effective 15 February 2025, the day after M M Dhanuka stepped down, and Shri Umang Dhanuka, brother of existing director Shri Nikunj Dhanuka, was appointed effective 25 May 2025. Public non-institution shareholders voted 66.76% against the appointment of Shri Satyanarayan Bankatlal Maheshwari, 66.76% against Shri Mayank Dhanuka, and 66.80% against Dr. Vaijayanti Pandit in the 22 April 2025 postal ballot. - Statutory auditor rotated in 2022 with no stated reason

At the 52nd AGM, public non-institution shareholders voted 17.14% against the appointment. - Seven consecutive years of unqualified audit opinions and clean CARO responses
Clean- Standalone and consolidated audit opinions were unqualified in every year from FY2019-20 through FY2025-26. The only recurring adverse CARO item was the ₹11.81 crore loan to the foreign subsidiary that was fully impaired in FY2024-25 after the subsidiary entered voluntary liquidation. Key Audit Matters were reported in FY2025-26 on valuation of investments, and the internal financial controls opinion was unqualified throughout.
What to watch
- Q C Polymer liquidation. Liquidation proceedings are ongoing under the Liquidator's supervision, with investigations continuing into asset recoveries and insurance claims, as reported in the FY2025-26 Annual Report.
- Auditor rotation. Completion of RMJ & Associates LLP's five-year term at the 57th AGM in 2027, when a new statutory auditor appointment or rotation will be required.
Bottom line: This is a company whose audit record is clean but whose capital allocation record is not. The pattern is consistent: money leaves through promoter-linked channels, comes back as write-offs or exceptional items, and reported profit is sustained by related-party gains while operating cash flow stays negative. The workmen's award and the Q C Polymer liquidation are the two live liabilities to track. Watch the AGM votes and the liquidation recoveries.
