National Standard (India) Ltd presents a record of clean audit opinions and orderly auditor rotation, but two features demand attention: the company is asking shareholders to approve related-party transactions with a fellow subsidiary, and its reported profits have not converted to operating cash in any meaningful way for a decade.
Key findings
- Operating cash flow has been negative or negligible for a decade
Major- Cumulative operating cash flow over the past ten years was ₹-9 crore against cumulative EBITDA of ₹20 crore, a CFO/EBITDA ratio of -0.43x. In FY2025-26, operating cash flow was ₹-6.02 crore against a profit after tax of ₹9.66 crore, and in FY2024-25 it was ₹-8.26 crore against ₹13.20 crore. The Board did not recommend a dividend in either FY2024-25 or FY2023-24, and ROCE declined to 4.71% in FY2025-26 from 6.71% the year before. - Revenue recognition hinges on occupancy certificates, but the company has no project
Minor- Revenue from property development is recognised at a single point in time, upon receipt of the occupancy certificate. The company stated in FY2025 that it "does not have any project and has no plan to take up any real estate project in near future". Trade receivables days lengthened from 18.77 days in FY2024 to 46.82 days in FY2025 and stood at 42.18 days in FY2026, while customer advances of ₹4.03 crore were reported on the balance sheet as at 31 March 2023. - Merger application filed, but annual report notes filing still in process
Minor- The Company filed an application for a Scheme of Merger by Absorption with Lodha Developers Limited before the NCLT, Mumbai Bench on 11 June 2026. However, the annual report dated 17 April 2026 states the Company was still in the process of filing the merger application. Previous year figures have been regrouped or reclassified in the FY2025-26, FY2024-25, and FY2023-24 standalone financial statements. - The group contains two unregistered Core Investment Companies and no operating subsidiaries
Minor- The company had no subsidiary, joint venture or associate companies during any year from FY2022 through FY2026. The auditor reported in FY2024 and FY2023 that the group contains two Core Investment Companies that are not required to be registered with RBI. An earlier merger scheme announced on 25 January 2022 proposed amalgamating the company and two other entities into Macrotech Developers Limited.
What to watch
- Shareholder vote on related party transactions. The proposal for transactions with Cowtown Infotech Services Limited goes to the 63rd AGM, notice dated 3 August 2026.
- Walker Chandiok & Co LLP's first audit. The new statutory auditor's report for FY2026-27 will cover the period after the 63rd AGM in 2026.
- Income-tax appeals. Resolution of disputed demands for AY 2018-19 through AY 2023-24 remains pending before the CIT(A), as disclosed in the FY2025-26 Annual Report.
- LBT penalty appeal. The outcome of the appeal against the ₹37.79 lakh penalty filed with Thane Municipal Corporation is pending, as disclosed in the FY2025-26 Annual Report.
Bottom line: This is a disclosed and audited record with an orderly auditor transition. The risk concentrates in two places: a decade-long pattern of profits that do not convert to operating cash, and a merger application with Lodha Developers Limited that was filed after the annual report date. Watch the shareholder vote on the RPTs and the NCLT merger outcome, and read the first audit report from the incoming auditor with those two numbers in mind.
