Pharmaids Pharmaceuticals is a pharmaceutical company that has fundamentally reinvented itself - it was a traditional manufacturer of bulk drugs and generics until its revenues fell to zero, and it is now rebuilding as a specialised Contract Research, Development and Manufacturing Organisation (CRDMO) that handles everything from early discovery through to final manufacturing for drug and device companies. The transformation began in early 2024 when the company formally changed its legal objects to enter contract research and manufacturing, and it accelerated in 2025 when Dr. S. N. Vinaya Babu - founder of a preclinical contract research firm - took control as promoter, bringing a ready-made subsidiary network with him. The recurring approach is to acquire and integrate operating businesses that already have facilities, certifications and customers, rather than building a CRDMO from scratch.
Business segments
A single engine under construction - a contract research and manufacturing platform assembled through acquisitions, anchored by a preclinical animal-testing subsidiary, with a divested chemicals unit that briefly supplied most of the revenue.
1. Preclinical contract research: the operating heart of the CRDMO
Through its subsidiary Adita Bio Sys, the company runs a certified laboratory animal facility that tests drugs and medical devices for safety before they ever reach human trials - this is where the group’s real, active operations sit today.
- A ready-made testing facility - Adita operates a 32,000 sq. ft. laboratory animal house in Tumkur, Karnataka, providing integrated non-clinical studies under Good Laboratory Practice (GLP) principles, which means pharma and biotech clients can outsource their mandatory safety testing to a single site.
- Certified by regulators that clients care about - the facility holds a National GLP certification from India’s compliance monitoring authority, valid for three years from December 2024, and in February 2026 it added accreditation from the American Association for Laboratory Accreditation (A2LA) for testing of medical devices in biological field as per ISO/IEC 17025:2017 and A2LA R256 with U.S. FDA GLP, so it can serve clients filing with both Indian and American regulators.
- Acquired, not built - Pharmaids bought a 99.86% stake in Adita during FY24 through a share swap valued at roughly Rs. 52.5 crore, which means it paid in stock rather than cash and instantly gained the facility, the certifications and the customer relationships.
- A small animal-feed arm that came and went - Adita also held a 60% stake in Siri Labvivo Diet, a company that manufactured laboratory animal feed, but it sold that entire holding in March 2026 for Rs. 3 lakh, so the group is now focused purely on the testing services rather than the feed supply chain.
- Still a step-down testing partnership - Adita holds a 90% interest in Spring Labs, a Tumkur-based partnership that breeds laboratory animals, sells lab animal diet and conducts preclinical testing for pharma, biotech and agrochemical clients, giving the group an additional channel into the same customer base.
2. CRDMO platform: the ambition to go end-to-end
The parent company is stitching together a full-service contract research, development and manufacturing offering - but it is still early-stage, with no R&D spending yet and land it bought for a manufacturing campus already sold.
- A single reportable segment - management treats the entire business as one ‘Contract, Research, Development and Manufacturing Services’ segment, covering discovery, development, manufacturing, testing and analytical work across pharmaceuticals, biotech, medical devices, nutritional products and specialty chemicals.
- Revenue comes from services and goods - the company recognises income when it delivers products or hits agreed milestones on service contracts, targeting pharma, biopharma, agro-chemical and medical-device customers in India and abroad.
- Land bought and then monetised - as part of an organic growth plan, the company purchased 3.45 acres in Tumkur to build manufacturing and R&D facilities, but it later sold those land parcels to its Chairman, Dr. Vinaya Babu, for Rs. 19.56 crore in September 2025, stating that no operations had been carried out there and the sale would not affect the business.
- No R&D spend yet - despite stating it can invest in developing new chemical entities and hard-to-manufacture molecules, the company incurred no research and development expenditure during FY25 and has not imported any technology in the last three years, so the platform is currently built on the capabilities it acquired rather than on internal innovation.
Group structure and partners
The company is controlled by a new promoter who brought the core operating subsidiary with him, and the group has been simplified by divesting a chemicals unit that once generated most of the revenue.
- A preclinical founder takes control - Dr. S. N. Vinaya Babu, who founded and runs Bioneeds India (a preclinical development firm), was appointed Chairman in January 2025 and became a promoter in September 2025 after completing a mandatory open offer, while the previous 12 promoter-group members were reclassified as public shareholders and gave up all board and management roles.
- The subsidiary that matters - Adita Bio Sys is the material unlisted subsidiary, 99.86% owned, and it in turn holds the 90% stake in Spring Labs, making Spring Labs a step-down subsidiary of Pharmaids.
- Related parties that matter - Koye Lifesciences (a lease arrangement discontinued in December 2025), Moki Financial Services, and Tumkur Trade Center Private Limited (which acts in concert with the promoter and holds 4.45% of Pharmaids) are all related parties with whom the company has sought shareholder approval for transactions.
