Polylink Polymers (India) Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Polylink Polymers' audit record is clean on its face: seven consecutive unqualified opinions, no fraud reported, and no adverse CARO findings across FY2020 through FY2026. Three things deserve attention: revenue recognition has been flagged as a Key Audit Matter for two straight years, the secretarial auditor has changed nearly every year for seven years, and a going-concern warning appeared as recently as May 2023.

Key findings

  1. Revenue recognition flagged as a Key Audit Matter for two consecutive years amid heavy export concentration in South African markets Major - The auditor identified revenue recognition as a Key Audit Matter in FY2025-26, citing the risk that revenue is recognised at a time not aligning with actual transfer of control, particularly for sales near period-end, and tested controls and sampled transactions including near period-end, inspecting shipping documents and customer acknowledgments. The same issue was flagged in FY2024-25, with no other KAMs reported. Revenue from two major customers (each >10% of total revenue) aggregated to ₹13.63 crore as of March 31, 2025, down from ₹19.11 crore a year earlier, and the company's revenue comes "mostly from Export Market," primarily to South African countries where government policies significantly influence the market.
  2. Secretarial auditor churn, A G Shah & Associates resigned within one year of appointment, creating a casual vacancy filled by Ankit Vageriya & Associates Major - A G Shah & Associates, appointed at the 32nd AGM held 26th September 2025 for five consecutive years from FY2025-26 to FY2029-30, tendered resignation effective 10th August 2026 "due to pre-occupation of works and other professional commitments". The Board at its meeting held 10th August 2026 approved M/s. Ankit Vageriya & Associates as Secretarial Auditor for five consecutive financial years from FY2026-27 to FY2030-31, subject to member approval. The secretarial auditor changed each year across FY2019-20 to FY2025-26, with no firm serving more than two consecutive years.
  3. Seven consecutive years of unqualified audit opinions with no qualifications, no fraud reported, no CARO adverse findings, and no material weaknesses in internal financial controls across FY2020 through FY2026 Major - K N Gutgutia & Co. issued an unqualified opinion on the standalone financial statements for FY ended 31 March 2026, with report dated 29.05.2026, and confirmed the accounting software has an audit trail feature that operated throughout the year with no instance of tampering. The auditor reported no fraud, no Form ADT-4 filed, no whistle-blower complaints, and no default in repayment of loans or borrowings. However, on 30 May 2023, the audit report for annual financial results included a going-concern emphasis that "future events or conditions may cause the Company to cease to continue as a going concern".

What to watch

Bottom line: This is a disclosed and audited record with real cash generation, operating cash flow has beaten profit in four of six years, and related-party dealings are routine and arm's-length. The risk sits in two places: revenue recognition, flagged by the auditor for two consecutive years in a policy-sensitive export market, and auditor continuity, with the secretarial auditor changing nearly every year. Read the revenue line with that in mind, and watch whether the FY2026-27 audit repeats the revenue KAM or the going-concern language returns.
