Pradeep Metals Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Pradeep Metals' record is clean on its face: unqualified audit opinions every year, operating cash flow that has covered profit in most recent years, and a routine auditor rotation completed in FY2025-26. Four things deserve attention: a decade of funding a loss-making US subsidiary ended in a ₹22.37 crore debt-to-equity conversion with no cash return, the same subsidiary chain has absorbed ₹8.1 crore of impairment provisions while its financials rest on management-certified unaudited statements, internal financial controls over inventory were qualified for five consecutive years, and a promoter holding company merger is pending with its share exchange ratio still undetermined.

Key findings

  1. A decade of US subsidiary funding ended in a ₹22.37 crore debt-to-equity conversion Major - Pradeep Metals converted outstanding unsecured loans to its wholly owned subsidiary Pradeep Metals Limited Inc. aggregating ₹22.37 crore into 224,167 equity shares at ₹997.83 per share on 30 May 2024. Loans receivable from the subsidiary fell from ₹21.53 crore as at 31 March 2022 to nil as at 31 March 2025. The listed entity remains exposed through trade receivables from the step-down subsidiary of ₹6.83 crore as at 31 March 2026 and a corporate guarantee of ₹7.39 crore.
  2. US subsidiary investment and goodwill have absorbed ₹8.1 crore of impairments Major - The company made impairment provisions on its investment in the US subsidiary of ₹2.7 crore in FY2019-20, ₹2.7 crore in FY2020-21, ₹1.35 crore in FY2021-22, and ₹1.35 crore in FY2022-23, bringing the aggregate to ₹8.1 crore as at 31 March 2023. No additional provision was required in FY2023-24, FY2024-25, or FY2025-26, with the aggregate remaining at ₹8.1 crore as at 31 March 2026. Auditors flagged the impairment as a Key Audit Matter in FY2020-21 and an Emphasis of Matter, a special call-out in the audit report, in FY2022-23.
  3. The entire non-India footprint rests on management-certified unaudited statements Major - The group has one wholly owned subsidiary and one wholly owned step-down subsidiary, both in Houston, USA, with no joint ventures or associates in any year from FY2020-21 through FY2025-26. Both entities were unaudited by the group auditor in FY2022-23, FY2023-24, and FY2024-25, with the auditor relying solely on management-certified unaudited financial statements reflecting total assets of ₹94.37 crore and total revenues of ₹62.68 crore for FY2024-25. The promoter holding company Nami Capital Private Limited, which holds 59.03% of Pradeep Metals, is being merged into the listed entity under a scheme approved by the Board on 3 March 2025.
  4. Inventory-related internal financial controls were qualified for five consecutive years Major - The internal financial controls opinion carried a qualification on inventory recording of WIP and allocation of overheads for FY2019-20 through FY2023-24, with the auditor stating each year that the matter was reported in the earlier year also. The FY2024-25 and FY2025-26 IFC opinions were unqualified. For FY2025-26, the auditor reported that the audit trail facility was not enabled for one software at the database level to log direct data changes.
  5. Borrowing authorisation and rated bank facilities have expanded sharply Major - Members approved a special resolution on 23 March 2026 authorising the Board to borrow up to ₹350 crore, superseding the prior ₹180 crore limit approved on 14 September 2015. CRISIL reaffirmed ratings on bank facilities of ₹282.00 crore on 30 June 2026, enhanced from ₹102 crore. As of 31 March 2022, 60 shares of the US subsidiary were pledged with Union Bank of India, Hong Kong, with a non-disposal undertaking for the remaining 140 shares, in connection with a foreign currency loan of USD 1.20 million taken by the subsidiary.
  6. Deferred tax assets on impairment and US tax losses go unrecognised Major - Deferred tax asset has not been recognised on impairment in the value of investment of ₹8.1 crore in FY2025-26, unchanged from FY2024-25 and FY2023-24, due to absence of reasonable certainty of reversal. Deferred tax asset has not been recognised on unused tax losses of the US subsidiary of ₹61.77 lakhs in FY2025-26, down from ₹3.9 crore in FY2024-25, due to absence of reasonable certainty of future taxable income. The Board approved the amalgamation of Nami Capital Private Limited with Pradeep Metals on 3 March 2025 with no cash consideration, and the share exchange ratio was still to be determined as of the FY2025-26 annual report.
  7. Customer concentration is rising at the standalone level while the group reports none Minor - In FY2025-26 standalone, one customer represented more than 10% of total revenue at ₹32.04 crore, whereas in the previous year no single customer exceeded 10%. In FY2025-26 consolidated, no customer represented more than 10% of total revenue for the years ended 31 March 2026 and 31 March 2025. In FY2023-24 standalone, no allowance was made for expected credit loss on trade receivables.
  8. Operating cash flow consistently exceeds profit, but capital is shifting to a defence greenfield project Clean - FY2025-26 standalone CFO was ₹32.47 crore against PAT of ₹30.34 crore, FY2024-25 CFO was ₹33.22 crore against PAT of ₹27.17 crore, and FY2023-24 CFO was ₹31.58 crore against PAT of ₹22.28 crore. The Board approved investment of up to ₹250 crore for a Greenfield Manufacturing Facility at Butibori, Nagpur for defence components including artillery shell casings. ROCE was 19.62% in FY2025-26, 20.48% in FY2024-25, and 18.97% in FY2023-24.
  9. Auditor rotation was routine, with no resignations or adverse actions Clean - M/s. N. A. Shah Associates LLP completed two consecutive five-year terms, having been appointed at the 32nd AGM on 11 September 2015 and re-appointed at the 37th AGM on 25 September 2020. M/s. KKC & Associates LLP was appointed as Statutory Auditor at the 42nd AGM for a five-year term until the 47th AGM in 2030. The CARO report for FY2025-26 states no resignation of the statutory auditors during the year.

What to watch

Bottom line: This is a disclosed and audited record with real cash conversion and a clean auditor rotation. The risk sits in the US subsidiary chain, which has absorbed a decade of funding, ₹8.1 crore of impairments, and management-certified unaudited financials, while the promoter holding company merger proceeds with its share exchange ratio still undetermined. Watch the NCLT sanction, the audit-trail exception, and whether the defence greenfield project delivers on its ₹250 crore commitment.
