Prime Property Development Corporation Ltd is a niche builder of luxury and semi-luxury standalone residential buildings in Mumbai’s most sought-after western suburbs - a business shaped when entrepreneur P. L. Soni acquired the company in 2000 and pivoted it to real estate development the following year. For over two decades, the company has followed a single, conservative formula: identify a premium micro-market like Juhu, construct one high-end building at a time, sell the flats, and stay liquid enough to never be forced into a bad deal - a discipline that, in the Chairman’s words, meant the company “has not suffered financial crunch even in the worst years of real estate business in India”.
Business segments
A single engine - developing and selling luxury standalone residential buildings in Mumbai’s western suburbs - with a dormant hotel subsidiary that no longer reports as a separate segment.
1. Residential property development: building one luxury building at a time in Mumbai’s western suburbs
The company identifies a premium land parcel, constructs a single standalone building, and sells individual flats to high-net-worth buyers - a project-driven model that recognises revenue only when completed units are sold.
- Deep local expertise in one micro-market - the company has specialised exclusively in luxury and semi-luxury standalone buildings in the Western suburbs of Mumbai since 2001, giving it over two decades of familiarity with local approvals, contractors, and buyer preferences in areas like Juhu.
- Lean, outsourced execution - rather than maintaining a large in-house construction workforce, the company relies on a team of external engineers, architects, contractors, suppliers, and legal advisors to execute each project, keeping the permanent headcount minimal and no employee’s remuneration above statutory limits.
- Chairman-led decision making - P. L. Soni personally identifies and evaluates new projects, guides construction, and balances liquidity by tapping diverse funding sources from private and banking companies, so strategic control remains concentrated at the top.
- The Juhu project as the current centrepiece - the company’s most significant recent development sits on a plot opposite Juhu Church, executed through its wholly owned subsidiary Sea-King Club Private Limited; by FY25, construction was complete, the Occupancy Certificate had been received, and flat sales were underway with completion expected in FY26.
- Lumpy revenue by design - because the company develops one project at a time and books revenue only on sale of completed units, it has experienced periods of nil revenue when projects were stalled awaiting approvals, reflecting the deliberate, patient approach rather than a volume-driven model.
Group structure and partners
A tightly held promoter-led company with one wholly owned subsidiary, no bank borrowings in multiple years, and funding that flows largely from the Chairman and his family.
- Promoter group holds majority control - as of March 2020, the promoter group held 72.13% of equity shares, with Chairman Padamshi L. Soni personally holding over 98 lakh shares and his two sons, Manish and Vishal, each holding 2 lakh shares.
- One subsidiary, now a single-segment group - the wholly owned subsidiary Sea-King Club Private Limited, unlisted and directed by the same three Soni family members, was used to execute the Juhu residential project; historically it operated a hotel business, but from November 2022 onward the group reported only one segment - Property Development - indicating the hotel ceased separate reporting.
- Promoter funding replaces bank debt - the company has not availed borrowings from banks or financial institutions in multiple years; instead, the Chairman extends short-term need-based loans and a related sole proprietorship, M/s. Prime Property Developers, has lent to the company from time to time.
- Parent as financial backstop - the parent company provided a corporate guarantee of Rs. 26.25 crore on behalf of the subsidiary to a banking company, and as of March 2024 had outstanding loans to the subsidiary of roughly Rs. 12.4 crore.
- A postponed partial exit - in November 2024, the Board approved a partial disinvestment of equity shares in Sea-King Club Private Limited, but by January 2025 the decision was postponed citing the present real estate market situation.
