Satiate Agri Ltd faces three active insolvency petitions, its shares have been suspended by BSE since August 2025, and it has burned through five audit firms in six years. The FY26 audit report carries a "Basis for Disclaimer of Opinion" section and four Emphasis of Matter paragraphs flagging the IBC proceedings. Revenue collapsed to near-zero before rebounding to ₹11.62 crore in FY26, and shareholder approval to borrow ₹100 crore sits against just ₹14.56 crore of reported debt.
Key findings
- BSE suspended trading in August 2025 for serial non-compliance
Major- BSE suspended the scrip effective 8 August 2025 for non-compliance with SEBI LODR Regulation 31 for two consecutive quarters. The revocation application remained pending as of the FY26 annual report date, and the scrip had already been suspended in FY2020-21 and FY2021-22 for non-payment of listing fees and regulatory violations. Listing fees have gone unpaid since at least FY2017-18, and secretarial audit reports for FY2022-23 and FY2023-24 list seven to nine non-compliances including failure to appoint an internal auditor and 100% promoter holding not in demat form. - The board was not duly constituted, with rapid director turnover
Major- The Secretarial Audit Report for FY2024-25 confirms the Board was "not duly constituted" under the Companies Act, 2013. A 33.57% shareholder requisitioned an EGM on 22 February 2025 that removed four directors and appointed new ones; Mr. Hargovindbhai Parsottambhai Sutaria served as Managing Director for one day on 10-11 March 2025. The Chairman and CFO both resigned effective 10 May 2026. - Shareholder approval to borrow ₹100 crore against ₹14.56 crore of reported debt
Major- Shareholders authorised the Board on 1 October 2025 to borrow up to ₹100 crore and create security on all company assets. Total borrowings on the FY26 balance sheet were ₹14.56 crore, all short-term. A charge registered with the ROC against the ₹4.05 crore Colama Commercial loan contradicts its stated unsecured status, and the company reported zero financial indebtedness in the quarter ended 31 March 2025. - Filings contradict each other on whether Core Investment Companies exist
Minor- The FY2023-24 auditor's report states the Company is not a Core Investment Company (CIC) but notes that, based solely on management-provided information the auditor did not separately evaluate, the Group has three CICs. The same year's board report states no subsidiaries or associates exist. The FY2025-26 auditor's report states the Group has no CIC, and board reports from FY2019-20, FY2021-22, FY2022-23, and FY2024-25 assert no subsidiaries or associates.
What to watch
- Excellence Finance IBC petition. Outcome of the Section 7 proceedings initiated before NCLT Indore on 29 May 2026.
- Poonam Impex IBC petition. Outcome of the Section 9 proceedings initiated before NCLT Indore on 24 April 2025.
- BSE trading suspension. The revocation application remained pending BSE approval as of the FY2025-26 annual report date.
Bottom line: This is a record of active insolvency risk, suspended market access, and governance in flux. Three IBC petitions, five audit firms in six years, and an audit report that contains a basis for disclaimer of opinion leave the financial statements without a reliable anchor. The ₹100 crore borrowing authorisation against ₹14.56 crore of debt and the registered charge on a loan stated as unsecured point to encumbrance questions the balance sheet does not answer. Watch the NCLT hearings and the BSE revocation decision, they will determine whether the company remains a going concern.
