Saumya Consultants is, at its core, a personal investment vehicle structured as a public company - a listed NBFC where a veteran capital-market operator deploys his own and public shareholders’ money across mutual funds, shares and loans. It was incorporated in 1993 and has been run for 25 years by Managing Director Arun Kumar Agarwalla, who brings over four decades of market experience to a single-minded approach: buy financial assets, earn income from them, and let the portfolio compound. That approach has not changed across the years covered, and it explains everything the company does.
Business segments
A single engine - an investment and lending portfolio - generates all income, with no subsidiaries, no joint ventures, and no other operating businesses.
1. Investment & Finance: a listed portfolio run by a market veteran
The company is essentially a professionally managed pool of capital that earns its keep through interest on loans, dividends, and fair-value gains on a diversified basket of Indian financial instruments.
- A single reportable segment - the entire business is classified under one head, “Investment & Finance,” because every rupee the company makes comes from deploying capital into financial assets within India.
- A mutual-fund portfolio spread across the industry - it holds unquoted mutual fund units from at least sixteen asset managers, including HDFC, ICICI Prudential, SBI, Kotak, and Nippon, spanning debt, equity, hybrid, fixed-term and credit-risk funds, all measured at fair value through profit or loss so that mark-to-market gains flow directly into earnings.
- Direct equity bets on the side - the company also owns quoted equity shares (measured at fair value through other comprehensive income) in entities like Dhanverdhi Exports and Ganodaya Finlease, plus a small unquoted stake in Balaji Vaisneo Trading carried at cost, giving it exposure to both listed and unlisted names.
- A loan book that adds steady interest income - it lends directly to borrowers, carrying gross loans of roughly Rs. 5.2 crore as of March 2024, all unsecured and all within India, with an impairment allowance set aside against potential defaults; interest is recognised using the effective-interest-rate method so income accrues smoothly over the life of each loan.
- Trading inventory and alternative funds round out the mix - the company keeps a “Stock of Shares” held for trading, valued at the lower of cost or fair value, and has placed money in alternative investment funds and managed accounts such as the IIFL Special Opportunities Fund and Aditya Birla Real Estate Fund, adding niche exposures beyond plain-vanilla mutual funds.
Group structure and partners
A standalone operation with no subsidiaries, a tightly held promoter group, and a deliberate move to simplify its listing structure.
- No subsidiaries or associates - the company has no subsidiaries, joint ventures or associate companies as of the latest filings; an earlier associate, Shreyashi Tradecom, disappeared from the books after FY20, leaving a clean, standalone structure.
- Promoters own just over half - the four promoter entities - Arun Kumar Agarwalla (24.21%), his HUF (15.16%), Sudha Agarwalla (9.92%) and Gaurang Agarwalla (5.59%) - together hold 54.88% of the equity, with none of their shares pledged, so control is stable and unencumbered.
- A voluntary delisting to cut compliance noise - in June 2026 the board approved delisting from the Calcutta Stock Exchange, citing negligible trading volume and a wish to reduce administrative costs, while keeping the BSE listing intact so liquidity remains available to public shareholders.
- Key managerial roles stay in the family - Arun Kumar Agarwalla serves as Managing Director, his relative Gaurang Agarwalla is CFO, and Ankita Drolia is Company Secretary, giving the firm a lean, owner-operator governance model.
