Saint-Gobain Sekurit India’s record is clean on its face: six years of unqualified audit opinions, no fraud reported, and a 75% promoter holding that votes consistently. Three things deserve attention: the single largest commercial relationship is with a fellow subsidiary and draws persistent minority dissent, operating cash flow has lagged profit for six years running, and the accounting software lacked an audit trail feature for purchase records, journal entries, inventory, and investments records in FY2024, FY2025, and FY2026.
Key findings
- The largest customer is a fellow subsidiary, and minority shareholders keep voting against it
Minor- Transactions with Saint-Gobain India Private Limited (SGIPL) reached 61.73% of the company’s annual consolidated turnover for the immediately preceding financial year under a ₹150-crore omnibus approval limit, which was raised from ₹100 crores from FY2023-24 onward. At the 52nd AGM on 30 July 2025, 34.79% of public non-institution votes were cast against the resolution, a sharp rise from 0.19% at the 51st AGM and 8.75% at the 50th. The Audit Committee stated that no unrelated comparable business entities exist for a direct comparison of the SGIPL transactions. - Operating cash flow has covered only 69 paise of every rupee of profit over six years
Minor- Cumulative PAT from FY21 to FY26 was ₹200.99 crore against cumulative CFO of ₹139.14 crore. In FY26, CFO of ₹33.39 crore fell short of the ₹45.80 crore PAT. The FY22 dividend of ₹3 per share included a ₹1.50 special dividend funded by the ₹27.9 crore exceptional gain on transfer of leasehold rights at Bhosari. - Audit opinions are unqualified, but a systems gap on audit trail persists
Minor- The statutory auditor issued an unqualified opinion in every year from FY2021 through FY2026, and CARO clause (xi)(a) confirmed no fraud by the company in any of those years. However, the auditor’s Section 143(3) report noted that the accounting software for purchase records, journal entries, inventory, and investments records did not have an audit trail feature in FY2024, FY2025, and FY2026. In FY2024, the audit trail was also not enabled at the database level to log direct data changes. The main accounting software’s audit trail operated throughout FY2026 with no tampering found.
What to watch
- Shareholder vote on the next omnibus RPT approval with SGIPL at the 53rd AGM, for which the notice was issued on 6 July 2026.
- Resolution of the ₹4.29 crore Merchant Exporter show-cause notice dated 19 September 2025, for which the company stated it will file a reply.
- Outcome of the ₹1.69 crore GST Input Tax Credit show-cause notice received on 13 November 2024.
- Whether the FY27 dividend is covered by operating cash flow, given the persistent CFO/PAT gap (D1 period: FY2025-26).
Bottom line: This is a disclosed and audited record with no fraud findings and a stable promoter holding. The risk sits in two places: the SGIPL relationship, which dominates revenue and draws rising minority dissent, and the cash conversion gap, which has left dividends reliant on exceptional gains in the past. Watch the July 2026 AGM vote and whether the GST notices crystallise into demands.
