Shardul Securities Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Shardul Securities' record carries seven straight unqualified audit opinions and a clean CARO history, but the cash story is weaker than the profit line suggests. Over nine years, operations have consumed ₹65 crore while the company reported ₹107 crore of profit, and the two most recent years both ended with negative operating cash flow. The balance sheet also carries pledged investments of ₹377.59 crore and a ₹75 crore corporate guarantee that sit outside reported borrowings.

Key findings

  1. Reported profits are not backed by operating cash generation Major - Cumulative operating cash flow was negative ₹65 crore against ₹107 crore of reported profit over nine years, a gap of roughly 0.6 times profit. FY25 posted negative CFO of ₹-35.94 crore against PAT of ₹32.99 crore, and FY26 recorded negative CFO of ₹-22.70 crore against a net loss of ₹-49.14 crore. The standalone cash balance fell from 4.22 crore as at 31 March 2024 to ₹40.26 lakh a year later.
  2. Pledged investments and a corporate guarantee understate reported borrowings Major - Investments pledged to Kotak Securities for a margin trading facility stood at ₹377.59 crore as at 31 March 2026, up from ₹65.12 crore the prior year, with the facility repayable on demand at 9.90% p.a.. The company also issued a ₹75 crore corporate guarantee for a bank guarantee facility granted to its wholly owned subsidiary Shriyam Broking Intermediary Limited, with no amount recognised in the financial statements. Consolidated borrowings rose from 9.89 crore to 23.16 crore during FY2024-25.
  3. Related-party exposure is dominated by a corporate guarantee to Shriyam Broking Major - The corporate guarantee to Shriyam Broking jumped from nil to ₹70 crore in one year, and total intra-group exposure reached 81.97 crore as at 31-03-2025, comprising equity investments and the guarantee. Intra-group exposure as a share of net owned fund climbed from 10.86% in FY2023-24 to 16.88% the next year and 17.94% as at March 31, 2026. Loans and advances to related-party subsidiaries stood at 128.12 crore as at 31.03.2024, up from 93.5 crore a year earlier.
  4. Reported profits are shaped by fair-value accounting and a tax-rate choice Major - The company reclassified a significant portion of equity investments from Investments to Stock-in-Trade with effect from 1 April 2026, accounted prospectively with no adjustments required in the FY2025-26 statements. The group opted into the 115BAA tax regime, and deferred tax liabilities fell from 12.7 crore to 8.89 crore during FY2024-25. The investment in unlisted Antique Finance Pvt Ltd was valued by management using internal assessment, not an independent external valuation under Ind AS 113.
  5. Disputed income-tax demands have swung widely, with no provision ever made Minor - Standalone disputed income-tax demands outstanding were ₹10.21 crore in FY2025-26, against which ₹1.11 crore was paid under protest, with no provision made. The figure has ranged from ₹15.98 lakh in FY2021-22 to ₹20.25 crore consolidated in FY2023-24, with no provision in any year. The company has consistently relied on legal advice that the demands will be deleted or substantially reduced.
  6. Revenue is volatile and dominated by investment-related gains Minor - Consolidated revenue swung from ₹13.33 crore in FY23 to ₹173 crore in FY24, then fell to ₹62.63 crore in FY25 and ₹15.98 crore in FY26. The "Investment & Related Activities" segment contributed ₹161 crore of the ₹173 crore total in FY24. Receivable days were 0.54 in FY25 and 0.11 in FY24, making receivables immaterial relative to revenue.
  7. Seven consecutive years of unqualified opinions and clean CARO responses Minor - The standalone and consolidated audit opinions were unqualified in every year from FY2019-20 through FY2025-26, with no fraud reported and no wilful-defaulter declaration in any year. The auditor flagged TDS defaults of ₹0.12 lakhs for FY2023-24 and FY2024-25, and ₹0.51 lakhs for FY2025-26. The audit trail was not operated for April 1, 2023 to February 22, 2024, but was enabled and effective from February 23, 2024 onward.
  8. A simple two-tier structure with one material broking subsidiary Minor - The group's only material non-listed Indian subsidiary is Shriyam Broking Intermediary Limited, incorporated in 1994. Shriyam Realtors Private Limited, a wholly owned step-down incorporated 15 December 2016, is reported as "yet to commence operations" in the AOC-1 statements for FY2020-21, FY2021-22, and FY2025-26. During FY2025-26, the company acquired Shriyam Realtors shares directly from Shriyam Broking, accounted as a common-control business combination with no gain or loss recognised.
  9. Auditor rotation occurred at the end of a statutory five-year tenure Clean - M/s J. Kala & Associates resigned as statutory auditor on account of end of five-year tenure, with no issues, objections or concerns raised. Akkad Mehta & Co. LLP has signed clean standalone and consolidated reports for FY2023-24, FY2024-25, and FY2025-26. The new auditor was also appointed for material subsidiary Shriyam Broking Intermediary Limited on 28 September 2022.
  10. Promoter and board conduct is routine Clean - Promoter shareholding stood at 74.85% with zero pledge as of the latest FY. The voluntary delisting from BSE was approved by 98.71% of non-promoter votes on 9 February 2024, but failed as minimum shares were not tendered. All resolutions at the 4 September 2025 AGM received 100% votes in favour, and managerial remuneration was confirmed by the auditor to be within statutory limits.

What to watch

Bottom line: This is an audited, unqualified record with routine governance and a simple structure. The risk sits in the gap between reported profit and cash, and in obligations that sit outside the borrowings line, the pledged margin facility and the subsidiary guarantee. Read the cash flow statement and the related-party note with that in mind, and watch whether the reclassification of investments changes how profits are recognised from FY2026-27 onward.
