Shiv Texchem Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Shiv Texchem’s record carries clean audit opinions and no reported fraud, but the cash story is the opposite of the profit story: cumulative operating cash flow is deeply negative while profits are positive, and management’s defence of that gap contradicts its own admission that working capital cannot be eliminated. The company is also under U.S. OFAC sanctions that have frozen U.S.-linked banking channels, with a removal process underway but unresolved.

Key findings

  1. Reported profits are not backed by cash Major - Cumulative CFO was ₹-600cr against cumulative PAT of ₹195cr over FY21-FY26, a CFO/(PAT−other income) ratio of -3.43x. FY26 CFO was ₹-327cr against PAT of ₹77.82cr, and FY25 CFO was ₹-116cr against PAT of ₹48.11cr. Management stated current assets are "as good as cash" and "can be converted to cash very quickly," but also confirmed working capital "cannot be eliminated".
  2. Shiv Texchem is under U.S. OFAC sanctions Major - OFAC sanctions imposed on the Company restricted or froze certain banking transactions involving U.S.-linked channels, and the Company has appointed U.S.-based legal counsel to seek removal from the list as of FY2025-26. The Secretarial Auditor observed the stock exchange portal still reflects the Company's SDD status as "Non-Compliant" despite dedicated software being implemented. An MCA Order dated 18th February 2026 permitted a fresh Form DIR-12 filing, but the portal is not enabling it.
  3. Audit opinions are clean, but two Emphasis of Matter items qualify the picture Major - The statutory auditor issued unqualified opinions for both FY26 and FY25. The FY26 report carries an Emphasis of Matter on OFAC sanctions freezing U.S.-linked banking channels, and another on the inability to obtain direct balance confirmations from Citibank for fixed deposits and WCDL facilities. Every CARO clause returned an explicit clean, including no fraud, no repayment default, and no cash losses.
  4. Receivables quality and concentration disclosures lag a 26% jump Major - Trade receivables over six months old rose to 30.94 crore in FY2025-26 from 6.85 crore in FY2024-25, while total receivables rose to 561.33 crore from 444.45 crore. Receivable days rose from 43.35 in FY2023-24 to 73.68 in FY2024-25, and were 73.80 in FY2025-26. Management declined to provide revenue concentration by industry or product family, and offered only unverifiable assurances that most debtors are "CRISIL A rated and above".
  5. Statutory auditor rotated from firm to individual after a single term Minor - M/s. Sunderlal, Desai & Kanodia ceased as statutory auditor at the 20th AGM held on 24th Sep 2025, and CA Yatin Kumar Shah was appointed for five years from that date. The Board's Report proposed the change without stating any reason. Shareholders approved it with 100% votes in favour, and the new auditor issued a clean opinion.
  6. Promoter family holds four of seven board seats and all executive roles Minor - The board comprises four promoter-family members and three independent directors. Mr. Rajen Hemchand Gada resigned as Independent Director on 11th February 2026, and Mrs. Shruti Vyas was appointed effective 27th May 2026. Promoter shareholding stands at 73.65% with zero pledge.

What to watch

Bottom line: This is an audited record with clean opinions and no reported fraud, but the cash flow deficit against reported profits is the central issue, and management's own statements do not resolve it. The OFAC sanctions and the unconfirmed Citibank balances add a layer of opacity around banking and cash. Watch the sanctions removal process and the Citibank confirmations, and read the receivables line against the cash flow trend.
