Simmonds Marshall's FY2025-26 record carries a clean audit history and a single, simple business, but the year's disclosures put the spotlight on the promoter's many roles. The sale of a near-dormant associate to the promoter at a steep multiple, a disputed tax bill that jumped eleven-fold, and a debt stack secured by the Managing Director's personal guarantee all sit on the same page as the company's own statements that none of it will matter.
Key findings
- Associate sold to promoter at 64x book, who remains landlord, lender and customer
Major- On December 5, 2023, the company sold its 49% stake in Formex Private Limited to promoter Mr. Navroze Shiamak Marshall for ₹19.88 crore, a price 64 times Formex's ₹31.12 lakh net worth. Formex's turnover had fallen from ₹85.35 lakh to ₹27.81 lakh, with job-work discontinued and rent its main income. The promoter also leases the company its Chakan plant, a 49-year lease effective August 1, 2024, still unexecuted as of the FY2023-24 report, and has extended working capital loans against his personal guarantee. - Disputed income tax exposure jumped 11.4x in one year to 2.78 crore
Major- Consolidated contingent liabilities for disputed income tax stood at 2.78 crore as of March 31, 2026, up from ₹24.32 lakhs a year earlier. The company repeats the same boilerplate, that it "does not reasonably expect the outcome to have a material impact", verbatim in five of the last six annual reports. - Net debt of 54.27 crore sits against cash of Rs. 6.84 lakhs, secured by the MD's guarantee
Major- Working capital loans carry a pari passu charge over substantially all operating assets and the Managing Director's personal guarantee, at 9.75-10.35% interest in FY2025-26. The company's own net-debt reconciliation as at March 31, 2022 shows borrowings of 54.27 crore against cash and equivalents of just ₹6.84 lakhs. A credit rating note dated March 4, 2026 puts overall gearing at 1.61x as of September 30, 2025. - Promoter family controls the board and executive pay, approved by promoter votes
Major- Mr. Navroze S. Marshall and Mr. Imran M. Panju were re-appointed at the September 23, 2025 AGM with salary ceilings of ₹2 crore and ₹84 lakhs respectively. Promoter shareholders polled 96.39% of their shares and voted 100% in favour; public non-institutions polled just 6.83%. The FY2019-20 secretarial audit recorded four qualifications, including promoter defaults under SEBI Takeover and PIT Regulations. - Goodwill of 2.67 crore unchanged for at least eight years, with no impairment ever booked
Major- Goodwill has sat at 2.67 crore since at least FY2018-19, with annual impairment tests concluding no impairment in every year through FY2025-26. The same year saw first-time impairments of ₹8.08 lakhs on CWIP and ₹2.26 lakhs on intangibles under development. - Receivables growing faster than revenue; half of turnover from five customers
Minor- Trade receivables rose from 21.01 crore to 29.16 crore between FY24 and FY25, while revenue grew from ₹192 crore to ₹208 crore. Receivables days stretched from 43.03 to 53.63, within the stated 45-90 day credit period. The top five customers accounted for 50.9% of FY25 operating income, per the March 4, 2026 credit rating announcement. - Related-party lease modification booked a P&L gain while raising both asset and liability
Minor- Extending the Chakan lease from 29 to 49 years effective August 1, 2024 produced a ₹10.15 lakh "Gain on modification of lease arrangement" while increasing the right-of-use asset by ₹4.27 crore and lease liability by ₹4.17 crore. A ₹1.01 crore differential premium paid to MIDC was capitalised as lease modification cost. - Only consolidation vehicle is a 99%-owned partnership; sole associate sold to promoter
Minor- The company holds a 99% profit share in partnership firm Stud India, treated as a subsidiary for consolidation, yet states it has no subsidiary, associate or joint venture as of March 31, 2026. Its only associate, Formex, ceased to be one on December 5, 2023, when the stake was sold to the promoter. - Statutory auditor unchanged since 2017; only churn was internal auditor in 2021
Clean- M/s. Lodha & Co. has been statutory auditor since September 8, 2017, re-appointed for a second term through the 67th AGM in 2027. Internal auditor SHR & Co. resigned on November 16, 2021 citing logistics after operations shifted to Chakan; Kirtane & Pandit has held the role since, re-appointed for FY2026-27.
What to watch
- Disputed tax outcome. 2.78 crore of disputed income tax matters were pending as of the FY2025-26 reporting period.
- Final dividend. Proposed ₹0.80 per share for FY2025-26, subject to member approval at the 66th AGM, payable on or after September 27, 2026.
- Chakan sub-lease renewal. Any shareholder approval for renewal or modification of the J.N. Marshall & Co. sub-lease, extended to 49 years effective August 1, 2024 with MIDC approval on October 27, 2025.
- MD's actual pay. FY2026-27 annual report disclosure of remuneration actually paid to Mr. Navroze S. Marshall under the ₹2 crore ceiling approved September 23, 2025.
Bottom line: This is an audited, disclosed record with a stable auditor and a single, simple business. The risk is concentrated in one place: the promoter's multiple roles as buyer, landlord, lender and guarantor, set against a thin cash position and a disputed tax bill that has grown eleven-fold in a year. Read the related-party and contingent-liability notes with that in mind, and watch the items above.
