Simplex Papers Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Simplex Papers’ record is a study in form over substance: six years of unqualified audit opinions sit atop a fully eroded net worth, recurring cash losses, and a state-institution loan that has been in default for over half a decade. The going-concern assessment, which had swung to “no material uncertainty” for three years, returned to material uncertainty in FY26.

Key findings

  1. Unqualified opinions continue despite eroded net worth and a going-concern reversal Major - The statutory auditor issued an unqualified opinion in every year from FY2021 through FY2026, even as accumulated losses fully eroded net worth and the Company incurred cash losses each year. The CARO going-concern assessment stated a material uncertainty exists in FY22 and again in FY26, but stated no material uncertainty in the three intervening years. An unsecured Sales Tax loan from a state financial institution has been in default for more than six months at every balance-sheet date since FY2021.
  2. Reported profits in FY21 and FY24 came entirely from non-operating write-backs Major - Net profit of ₹2,51,146 in FY21 was entirely attributed to exceptional items, chiefly ₹12,86,832 written back as amounts no longer payable. In FY24, a net profit of ₹1,143.95 thousands arose from a reversal of expected credit loss of ₹3,218.00 thousands, against total income of just ₹164.55 thousands. Deferred tax assets remain unrecognised across all years because of persistent tax losses.
  3. A stable, small board with no promoter pledge and zero director equity Minor - Promoter shareholding stood at 49.94% with zero pledge, and no director or KMP held any shares in the Company across the last six years. One independent director resigned to become CEO and CFO in April 2021, and a 74-year-old independent director was appointed in June 2026 for a five-year term that requires member approval to continue past age 75.

What to watch

Bottom line: This is a company whose audit opinions have stayed clean while its financial foundation has not. The profits that did appear were accounting reversals, not operating earnings, and the going-concern flag that was lowered for three years is back up. Watch whether the overdue state loan gets a resolution, and whether the FY27 CARO report keeps the material-uncertainty label.
