Solitaire Machine Tools Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Solitaire Machine Tools’ record is clean on its face: seven years of unqualified audit opinions on the financial statements, zero promoter pledge, and a new plant funded mostly from internal accruals. Two things deserve attention: the auditor has disclaimed or qualified its opinion on internal financial controls for four years running, and the standalone balance sheet reports zero borrowings while the consolidated balance sheet reports borrowings of ₹4.14 crore, confirming active borrowing at the group level.

Key findings

  1. Seven customers hold 85% of receivables, up from three a year ago Minor - As at 31 March 2026, 7 customers accounted for 84.68% of total trade receivables outstanding, up from 3 customers holding 69.04% a year earlier. Over 20% of sales for FY2023-24 were to the Department of Atomic Energy, Government of India. Revenue recognition was tested as a Key Audit Matter in FY2021-22, with the auditor examining controls over the order-to-cash process.
  2. A tightly held promoter group with interlocking family roles has secured five-year reappointments Minor - Promoter and Promoter Group held 45.29% of outstanding shares with zero pledge. Mr. Ashok J. Sheth (Chairman & CFO, aged 77) was re-appointed for five years from 8 September 2025, and Mr. Hemandra Badani (Vice-Chairman & MD, aged 72) and his son Mr. Harsh Badani (Joint MD, aged 40) were re-appointed for five years from 8 February 2025, all approved by shareholders. The three Independent Directors were re-appointed for a second five-year term at the 32nd AGM, extending their tenure to the 37th AGM in FY2029.
  3. Contingent liabilities are dominated by a ₹23 lakh DGFT penalty contested since 2000 Minor - A penalty of ₹23 lakhs levied by DGFT has been contested in appeal via WP No.1957 of 2000 pending at the Delhi High Court since at least FY2019-20. Bank guarantees outstanding rose from ₹67.10 lakhs at 31 March 2021 to 2.08 crore at 31 March 2024. Disputed income tax demands for earlier assessment years fell from ₹20.26 lakhs in FY2019-20 to nil by FY2022-23.
  4. Secretarial audits flagged procedural SEBI lapses for three years, with no penalties Minor - The secretarial audit reports for FY2019-20 through FY2021-22 observed delays in trading-window closure submissions, non-publication of statutory notices in newspapers, and non-filing of the Annual Return on Foreign Liabilities and Assets. The company stated in its FY2025-26 corporate governance report that no fine, penalty or stricture was passed by SEBI, Stock Exchanges or any other statutory authority on capital markets matters during the year or in the last three years.
  5. The statutory auditor changed after the company relocated; the secretarial auditor resigned mid-term Minor - M/s K.C. Mehta & Co. LLP was appointed as statutory auditor at the AGM on 16 July 2022 after the company shifted its registered office from Mumbai to Vadodara. Secretarial auditor Kiri and Associates resigned effective 14 November 2022, citing “Personal Reasons and no other material reason”. H. M. Mehta & Associates was appointed the same day and shareholders approved a fresh five-year term at the AGM on 28 June 2025.
  6. Operating cash flow has been weak relative to profits, but the new plant was largely self-funded Clean - Cumulative CFO of ₹9 crore covered 0.60x of cumulative EBITDA of ₹15 crore over the seven-year period through the latest fiscal year. The new plant at Halol-Maswad GIDC involved a total investment of over ₹5 crore, of which only about ₹2 crore was a term loan and the rest was funded from internal accruals. ROCE declined from 26.02% in FY2017 to 13.24% in the latest fiscal year.

What to watch

Bottom line: This is a small, promoter-run industrial company with a clean audit opinion on its financial statements and a new plant built largely from its own cash. The risk sits in two places: the four-year breakdown in internal financial controls, which the board has mischaracterised as clean, and the persistent gap between the reported zero borrowings and the active security charges and loan repayments that say otherwise. Read the receivables line with the customer concentration in mind, and watch whether the material weaknesses are actually fixed by the next audit.
