Spice Islands Industries Ltd Growth Catalysts - SOIC x StockScans Report

as of Jul 2026

  1. Warrant conversion adds ₹6.5 cr equity - All 19,33,324 convertible warrants were converted on 1 December 2025, bringing in the balance 75% exercise price and raising total paid-up capital from ₹4.30 cr to ₹6.23 cr. The ₹6.52 cr inflow directly funds the company's new segments at a stage where FY25 total revenue was only ₹2.98 cr and EBITDA was ₹1.24 cr.
  2. PEACE ROGERS wellness JV with Wockhardt family - A 60:40 joint venture with The Peace Mission Private Limited (promoter family of Wockhardt Limited) was signed on 5 June 2026 to develop, manufacture and distribute functional wellness beverages under "PEACE ROGERS," with aggregate value up to ₹20 cr in FY27. The JV brings a credible pharma-promoter partner and a ready brand platform to a segment that generated just ₹49.69 lakh in FY25 revenue.
  3. Edible oil segment approved by shareholders - Shareholders approved a new Segment IV - Edible Oil on 13 November 2025, covering manufacturing, refining, trading and export of the full edible-oil value chain from oilseeds to by-products. This opens a large-addressable-market vertical with no prior revenue base, making even modest entry volumes material relative to the company's current scale.
  4. Three-hotel pipeline in pilgrimage destinations - The company added leased or managed hotels in Dwarka (two properties, including the 26-room Ocean Prime from July 2026) and Somnath (one property from November 2025), with management fees at 7% of revenue plus setup fees. These asset-light additions multiply the hospitality footprint from a segment that earned ₹24.51 lakh in FY25.
  5. First export order opens Global Trade vertical - A purchase order worth USD 166,136 (\~₹1.38 cr) was received on 25 January 2026 from Emazing Deals, UAE, for perfume supply, executed via Sterling Perfumes Industries (owner of ARMAF). The order marks the start of a new export-led revenue stream that is already larger than any single segment's FY25 revenue.
  6. MOU for packaged water and soda manufacturing - An MOU with Erva Food and Beverages was approved on 26 June 2026 for manufacture, bottling and supply of packaged drinking water, club soda and flavoured soda. This adds production capacity to the F&B segment, which management expects to deliver healthy revenues from the Rogers brand.
  7. Investment limit raised to ₹100 cr - The Board proposed enhancing the limit for loans, guarantees and investments to ₹100 cr to enable strategic investments and acquisition of immovable property. The expanded headroom supports the multiple new verticals without requiring repeated shareholder approvals.
