Stanrose Mafatlal's record is thin and loss-making, but it is disclosed and audited without qualification. Three things deserve attention: the subsidiary's auditor has flagged adverse CARO remarks for three years running while the parent's auditor stays silent, the balance sheet shows ₹2.10 crore of borrowings, and a ₹1.26 crore loan to the subsidiary has sat unchanged and repayable on demand for at least four years.
Key findings
- Clean audit opinions for seven years, but the subsidiary's auditor has flagged adverse CARO remarks for three
Major- The standalone and consolidated audit opinions have been unqualified every year from FY2019-20 through FY2025-26, with no Key Audit Matters reported in any standalone report. The subsidiary's statutory auditor gave an adverse remark in its CARO report for FY2021-22, FY2022-23, and FY2023-24, and the FY2023-24 consolidated auditor's report provides the details in a table directly under that statement. The company incurred cash losses in five of the last six years, including ₹2.44 crore in FY2025-26. - Multi-year related-party transactions with a promoter entity at unchanged rates, and a static ₹1.26 crore loan to the subsidiary
Minor- The Leave & Licence Agreement and Facility & Services Agreement with promoter entity Shanudeep Private Limited for 2,000 sq.ft. at Vijyalaxmi Mafatlal Centre, Mumbai, were renewed every three years at identical monthly rates, licence fee ₹1,80,000 and service charges ₹2,42,000, for the periods August 2020-August 2023, August 2023-August 2026, and August 2026-August 2029. The aggregate loan outstanding to subsidiary Stan Plaza Limited was ₹1.26 crore at the end of FY2022, FY2023, FY2024, and FY2025, with no additional loans provided during any of those years. The Audit Committee and Board approved the Shanudeep transactions as material related-party transactions requiring shareholder approval in each renewal cycle, and the August 2026-August 2029 renewal was passed with 108,796 votes, 100% of non-related public shareholders voting, on 15 July 2026. - Operating cash flows are volatile and disconnected from persistent losses; capital allocation has shifted from dividends to debt-funded survival
Minor- Operating cash flow swung from negative ₹0.75 crore in FY2024 to ₹0.04 crore in FY2025 and ₹1.66 crore in FY2026, while profit after tax was a loss in each of those years, yielding a CFO/PAT ratio of -0.55x in FY2026. ROCE deteriorated from -0.65% in FY2023 to -9.54% in FY2026. The company recommended a dividend of ₹6.00 per share for FY2019-20 but recommended no dividend for FY2021-22, citing losses and an RBI circular. Capital work-in-progress stood at zero as of the FY2026 balance sheet, and borrowings were ₹2.10 crore against cash of ₹1.04 crore. - A single operating subsidiary and a liquidating entity under court supervision since 2011
Minor- The group has one consolidated subsidiary, Stanplaza Limited, held at 100% since 13 March 2015, with a net worth of 52.02 lakhs and profit before tax of (0.31) lakhs in FY2024. Stanrose Mafatlal Lubechem Limited has been in liquidation since the High Court of Mumbai ordered its winding-up on 10 June 2011, and its financial statements have never been consolidated. Stan Plaza Limited was classified as a Material Subsidiary in FY2021 and FY2022 but reclassified as Non-Material from FY2023 onward. The FY2026 standalone AOC-1 lists Stan Plaza Limited as a subsidiary, while the Board's Report in the same annual report also lists it as a wholly owned subsidiary. - Only minor, technical BSE penalties for delayed regulatory filings, subsequently complied with
Minor- BSE Ltd. imposed a penalty for non-compliance under Regulation 13(3) of SEBI (LODR) Regulations for the March 2024 quarter, which was subsequently complied with. BSE Ltd. also imposed penalties for non-compliance under Regulation 23(9) for the September 2023 quarter, subsequently complied with. The Corporate Governance Compliance Certificate for FY2023-24 noted a delay of one day in submission of related party transactions for the half year ended 30 September 2023.
What to watch
- Shanudeep agreement renewal. The renewed agreements run from 19 August 2026 to 18 August 2029; the next materiality assessment and shareholder approval cycle would be due before expiry.
- Subsidiary loan repayment. The ₹1.26 crore on-demand loan to Stan Plaza Limited remains outstanding with no stated repayment date as of the FY2025 annual report.
- Lubechem liquidation. Resolution or final closure of Stanrose Mafatlal Lubechem Limited liquidation proceedings, pending since the High Court of Mumbai order dated 10 June 2011.
- Written-off advance and investment property. Recovery of the ₹5.38 crore advance written off in FY2024, and any developments regarding the investment property flat for which the sale deed had not been executed as of 31 March 2024.
Bottom line: This is a disclosed and audited record with no concealment of the core fact: the business is persistently loss-making and generates negligible operating cash. The risk sits in two places: the subsidiary whose auditor has flagged adverse CARO remarks for three years without the parent's auditor elaborating, and the ₹2.10 crore of borrowings on the balance sheet. Watch whether the subsidiary's CARO remarks are ever detailed, and whether the AOC-1 and Board's Report are reconciled.
