Starlineps Enterprises Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Starlineps Enterprises' record is mixed: the last two years carry clean audit opinions and no fraud findings, but the years before that were qualified on a basis that was never disclosed. The bigger issue is scale and disclosure: shareholders have approved up to ₹2,000 crore of investments and guarantees, against a company that has earned ₹1-6 crore annually, and the company reports no related-party transactions in the same period.

Key findings

  1. Shareholders approved ₹2,000 crore of investments and guarantees, with no related-party transactions reported Critical - On 3 August 2026, shareholders passed a special resolution approving investments, loans, securities and guarantees under Section 186 of the Companies Act, 2013, with 99.94% of votes in favour. The postal ballot notice dated 2 July 2026 sought approval for up to ₹2,000 crore of such instruments, including ₹350 crore into newly acquired associate Celloraa Energy and guarantees up to ₹1,000 crore over a 10-year tenure. The company acquired 20% of Celloraa Energy on 31 August 2026, yet reported no related-party transactions for FY2025-26 and no Form AOC-2 disclosures for the prior three years.
  2. A ₹5.29 crore write-off wiped out most of FY2026's profit Major - The company recognised a write-off of intangible assets under development of ₹5,29,36,000 as an expense in the year ended 31 March 2026. The AGM notice attributes the lower net profit to this write-off of Capital Work-in-Progress. No revaluation of property, plant or intangible assets was reported during FY2026.
  3. Three consecutive qualified audit opinions, while Board reports claimed none Major - The standalone auditor's reports for FY2021-22, FY2022-23 and FY2023-24 each contain a "Basis for Qualified Opinion" paragraph, with the qualification never disclosed. The Board's Report for FY2021-22 states the Auditors' Report contains no qualification, contradicting the same year's audit opinion. The FY2020-21 opinion was unqualified, as were the FY2024-25 and FY2025-26 opinions.
  4. Promoter holding fell 22.89pp in four years; the CMD holds no shares in his own name Major - Promoter and Promoter Group shareholding declined from 55.86% as at 31 March 2022 to 32.97% in the latest period, a drop of 22.89 percentage points. The most recent one-year fall was 3.18pp, with 15 disposal events totalling ₹118 crore and the latest on 27 December 2023. The Chairman & Managing Director, Shwetkumar Koradiya, held no equity shares in his own name as disclosed in the FY2024-25 AGM notice. His remuneration doubled from ₹50,000 to ₹1,00,000 per month upon re-appointment from 1 July 2025, approved on 25 September 2025.
  5. Revenue more than doubled in FY25 while receivables collection slowed Minor - Revenue from operations rose to ₹7.33 crore in FY2024-25 from ₹2.98 crore in FY2023-24. Receivables days went from 0.00 in FY24 to 25.88 in FY25 and 68.66 in FY26. The company attributed the higher debtor turnover ratio to delayed collection of receivables in FY2024-25.
  6. Statutory auditor Kansariwala & Chevli is being replaced by Shah & Shah at the 15th AGM Minor - Kansariwala & Chevli, appointed at the 5th AGM in 2016 and re-appointed for a second term in 2021, is proposed to be replaced by Shah & Shah for a first term of five years from the 15th AGM, per the notice dated 3 September 2026. Fees paid to the incumbent were nil in FY2019-20, ₹1,62,000 in FY2020-21, and ₹82,875 in FY2021-22. Two company secretaries resigned in 2024, and secretarial audit reports noted a two-day delay in bonus-share trading and a late submission to the designated depository.
  7. The group is a single loss-making subsidiary plus a post-year associate Minor - As at 31 March 2026, the company had one wholly-owned subsidiary, StarlinePS International Private Limited, incorporated 25 October 2024 with paid-up capital of ₹10 lakh. The subsidiary reported zero turnover and a loss of ₹54,287.78 for FY2024-25. The company acquired 20% of Celloraa Energy on 31 August 2026, making it an associate. The company made nine small investments totalling ₹1.66 crore in FY2024-25.
  8. A single ₹40,000 BSE penalty, paid and closed, is the only regulator action Minor - BSE imposed a ₹40,000 penalty for a two-day delay in bonus-share trading beyond the required date of 7 October 2024. The penalty was paid. An earlier fine for non-compliance under Regulations 34 and 43A was withdrawn per BSE mail dated 13 March 2023. No fraud was reported during FY2025-26, and no Form ADT-4 was filed.

What to watch

Bottom line: This is a disclosed and audited record with a clean recent audit history, but the gap between the scale of approved commitments and the company's actual earnings is the central risk. The ₹2,000 crore of approved investments and guarantees, against a ₹1-6 crore profit, sits alongside a promoter holding that has fallen sharply and a CMD who holds no shares. Watch whether the Celloraa investment proceeds, and whether related-party disclosures appear in the next annual report.
