Sungold Capital Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Sungold Capital’s record is unusual: seven years of unqualified audit opinions sit beside a ₹21.39 crore overdue loan book and financial statements prepared on a non-going concern basis. Two other threads matter, a decade-long SEBI enforcement chain that ended in a 2025 divestment and market ban, and a promoter holding that is low, unpledged, and supported by remuneration that repeatedly needs special shareholder approval.

Key findings

  1. A ₹21.39 crore overdue loan book sits inside seven years of clean audit opinions Major - The statutory auditor issued unqualified opinions on the standalone Ind AS financial statements every year from FY2019-20 through FY2025-26, and communicated no Key Audit Matters in any of those reports. Yet CARO clause iii(d) reported loans and advances overdue more than ninety days, including interest, at ₹26.48 crore as at March 31, 2023, 2024, and 2025, and ₹21.39 crore as at March 31, 2026. The auditor’s report on the year ended March 31, 2026 carried an Emphasis of Matter, a special call-out in the audit report, stating the company has no business plan, does not intend business activity in the near future, and prepared the financial statements on a non-going concern assumption with financial assets at realizable value or cost whichever is lower.
  2. SEBI pursued the promoter for 2007 takeover-rule violations across a decade, ending in a 2025 divestment and market ban Major - SEBI issued a show-cause notice in September 2015 for failure to disclose a change in shareholding and wrongly classifying promoter group shareholding as public holding. A May 18, 2020 adjudication order imposed a penalty of Rs 11 lakh on promoter Rajiv Kotia and Rs 10 lakh jointly and severally on four family members for violating SAST Regulations 1997 by not making a public announcement for share acquisitions in 2007-2008; the penalty was recovered by SEBI. After a chain of appeals that reached the Supreme Court and returned to SAT, SEBI’s final order dated October 8, 2025 directed Mr. Kotia to sell excess shares of approximately 1.54% and barred certain family members from securities markets for three months; Mr. Kotia divested the excess holding within the prescribed timeline, deposited the proceeds into the Investor Protection and Education Fund, and submitted a compliance report to SEBI.
  3. Promoter holding is low at 23.81% and unpledged, and MD remuneration repeatedly needs special shareholder approval Minor - Promoter and promoter group shareholding declined from 24.32% as of 31 March 2024 to 23.81% as of 31 March 2026, with zero encumbrance across all periods. Mr. Rajiv Kotia’s remuneration as Chairman & Managing Director of ₹3,00,000 per month for two years from 1 July 2023 to 30 June 2025 was approved by special resolution because it exceeded 5% of net profit, and his re-appointment for five years from 1 July 2025 to 30 June 2030 at ₹36,00,000 per annum was approved by special resolution at the 26 August 2025 AGM with 99.9989% of valid votes in favour. At the 10 September 2024 AGM, three special resolutions to appoint three directors each received 1,50,000 votes against, 1.93% of valid votes cast, from two public non-institution members.
  4. Revenue recognition splits between prudential NPA norms and accrual accounting, while segment reporting is inconsistent Minor - The company applies realisation-based interest recognition for NPAs and reverses accrued interest to an interest suspense account upon NPA classification, disclosed consistently from FY2020-21 through FY2025-26, while revenue from the entertainment division is recognised on an accrual basis. The FY2024-25 annual report states three reportable segments, Entertainment, Software Development and NBFC Activities, but the same report also states two segments: ‘Financing Activity’ and ‘Others’. Segment assets and liabilities are not allocated because fixed assets and other assets are used interchangeably, making such disclosure “not practicable”.

What to watch

Bottom line: This is a disclosed record where the audit opinion and the financial condition point in opposite directions, clean opinions for seven years, yet the accounts are now drawn up on the assumption the company will not continue. The SEBI enforcement chapter is closed after a decade, and the promoter’s stake is low, unpledged, and supported by shareholder votes. The real question is whether the non-going concern basis becomes permanent; watch the next audit opinion and the trajectory of the overdue loan book.
