Swadeshi Polytex Ltd presents a record of unqualified audit opinions across seven years and a clean auditor rotation, but the financial picture has narrowed sharply: revenue has all but vanished, ₹35 crore in customer advances sit unrealised, and a cluster of disputed liabilities totalling ₹7.18 crore remains unprovided.
Key findings
- Revenue collapsed to near zero while contract liabilities stood at ₹35 crore
Major- Revenue from operations fell from ₹99.26 crore in FY24 to ₹0.40 crore in FY25 and further to ₹0.01 crore in FY26. Contract liabilities, representing amounts received from customers, stood at ₹35.06 crore as at 31 March 2023. Operating cash flow was negative ₹6.40 crore in FY26 against a positive profit of ₹4.18 crore, and negative ₹6.53 crore in FY25 against a profit of ₹2.28 crore. - Disputed tax demands remain unresolved and contingent liabilities total ₹50,242 thousand
Major- Disputed income-tax demands reported under CARO include a ₹22.17 lakh matter for AY 2012-13, now at the CIT (Appeals). A non-current liability of ₹21,642 thousand for alleged dues to erstwhile employees is contested before the Jurisdictional High Court and has not been fair valued. Contingent liabilities for claims not acknowledged as debts totalled ₹50,242 thousand as at March 31, 2025, and no provision has been made for any of these exposures. - Audit opinions stayed unqualified but audit-trail exceptions recurred across years
Minor- The statutory auditor issued an unqualified opinion in every year from FY20 through FY26 and reported no Key Audit Matters. For FY26, the auditor noted the accounting software's audit-trail facility operated for all relevant transactions "except at database level," with no tampering found. For FY24, the audit-trail facility was not enabled for inventory and property, plant and equipment records, and the backup of electronic books was maintained on a periodical rather than daily basis. - BSE fined the company ₹3.54 lakh for a related-party disclosure lapse; the fine remains unpaid pending waiver
Minor- BSE levied a penalty of ₹3,54,000 for non-compliance with Regulation 23(9) concerning disclosure of related party transactions on a consolidated basis for the half-year ended March 31, 2024. As of July 15, 2024, the fine remained unpaid and the company filed a waiver application, which is under review by the Listing Operations Team of BSE as of the FY25 annual report. - Promoter shareholding is concentrated and rising, and a deceased promoter's physical shares remain unresolved
Minor- Promoter shareholding increased from 70.01% in FY25 to 72.05% in FY26, with zero pledge throughout. The Secretarial Audit Report for FY26 flags that promoter Mr. Mahendra Swarup (deceased) holds 52,500 equity shares in physical form with no succession certificate obtained. Three Independent Directors ceased on 31 March 2024 upon completing two terms, and four new Independent Directors were appointed effective 1 April 2024. - Auditor rotated from SPMR & Associates to SANMARK & Associates at the end of a completed five-year term
Clean- M/s SPMR & Associates completed their five-year term from the 47th AGM through the 52nd AGM. M/s SANMARK & Associates were appointed at the 52nd AGM held on 21 September 2022 for a five-year term ending in 2027, with 99.62% of votes in favour. No resignation of statutory auditors occurred during the transition.
What to watch
- Contract-liability realisation. The ₹35.06 crore contract-liability balance outstanding as at 31 March 2023 has yet to convert to revenue, against a backdrop of near-total revenue disappearance in FY25 and FY26.
- Income-tax disputes. A disputed income-tax demand of ₹22.17 lakh for AY 2012-13 remains pending before the CIT (Appeals) as of the FY25 annual report.
- Employee dues. The ₹21,642 thousand in alleged employee dues contested before the Jurisdictional High Court had no scheduled hearing date disclosed in the FY25 annual report.
- Customs notice. The writ petition before the Allahabad High Court against the Customs notice for pre-2000 export obligations had no scheduled hearing date disclosed in the FY25 annual report.
- BSE waiver. The waiver application for the ₹3,54,000 penalty was pending as of the FY25 annual report.
- Promoter loan repayment. The FY21 annual report disclosed promoter-director loans of ₹40 crore repayable in quarterly instalments from March 2022; subsequent annual reports through FY26 contain no disclosure of whether these loans were fully repaid, written off, or remain outstanding.
- Physical shares and succession. The succession certificate for the deceased promoter Mr. Mahendra Swarup's 52,500 physical shares remained unresolved as of the Secretarial Audit Report for the year ended 31 March 2026.
Bottom line: This is a company whose operating engine has effectively stopped, leaving a balance sheet of advances received but not earned and claims disputed but not provided. The audit opinions are clean and the auditor rotation was orderly, but the record turns on whether the ₹35 crore in contract liabilities can be realised and whether the ₹7.18 crore in contested exposures crystallise into cash outflows. Watch the resolution of the customer advances and the disputed demands.
