Systematic Industries' FY2026 audit is clean: an unqualified opinion with no Key Audit Matters, no fraud findings, and no internal-control weaknesses. The record carries two material concerns, related-party business with promoter-controlled entities pending shareholder approval, and profit growth that has not converted into operating cash, plus one minor reporting lapse.
Key findings
- Promoter-linked entities to receive up to ₹185 crore in related-party business, pending shareholder vote
Major- SIL seeks approval for FY2026-27 transactions with Wire Brigade Industries Private Limited (WBIPL) up to ₹125 crore and Veritas Industries Private Limited (VIPL) up to ₹60 crore, for raw material purchase, job work, leasing, and product sales. Both entities are controlled by the same promoter-directors, and transactions are capped at ₹50 crore each until the 26th AGM, scheduled up to September 22, 2026. SEBI approved the transactions on January 30, 2026, subject to member ratification, but the Annexure-A minimum information form in the AGM notice appears blank. - Operating cash flow covers only 63% of adjusted profit over nine years; no dividend despite IPO proceeds
Major- Cumulative CFO was ₹41 crore against cumulative PAT of ₹77 crore less other income of ₹11 crore, a 0.63x coverage ratio over nine years. FY26 CFO of ₹6.07 crore covered just 29% of PAT of ₹21.02 crore, and CFO was negative in FY23 and FY22. The company raised ₹107.80 crore in an IPO listed on the BSE SME Platform on October 1, 2025, deployed the proceeds as disclosed in Note 18, and recommended no dividend for FY2026. - Clean audit with one March 2025 stock statement variance
Minor- Hardik Vora and Associates issued an unqualified opinion with no Key Audit Matters, no fraud reported under Section 143(12), and adequate internal financial controls as at March 31, 2026. The sole exception: monthly bank returns agreed with books except for March 2025, when stock was in excess by ₹1.56 crore versus the bank statement, attributed to stock in transit and zinc stock in tank not included in the filing. CARO findings otherwise confirm no willful-defaulter status, no repayment defaults, no Benami transactions, and an intact audit trail.
What to watch
- Shareholder vote on related-party limits. The 26th AGM, up to September 22, 2026, will decide on revised higher limits of ₹125 crore for WBIPL and ₹60 crore for VIPL.
- Independent director appointment. Shareholders vote by special resolution on Mr. Gunjan Saboo's five-year term as Independent Director, from March 20, 2026 to March 19, 2031.
- IPO proceeds deployment. Utilization against stated objects is disclosed in Note 18 of the FY2025-26 Annual Report.
Bottom line: This is an audited record with a clean opinion and no red flags from the auditor on fraud, defaults, or internal controls. The risk character is twofold: related-party commerce with promoter entities that has yet to receive shareholder ratification, and a persistent gap between reported profit and cash generation that widened in FY26. Read the cash flow statement alongside the profit line, and watch the AGM vote on the related-party caps.
