TIPCO Engineering's record carries a clean audit opinion for FY26, but that opinion sits alongside a CARO finding that interest-free related-party loans were prejudicial to the company, and the auditor resigned effective August 18, 2026, after signing off on May 26, 2026. The reader should weigh three things: receivables ballooning to 169 days against negative three-year operating cash flow, repeated interest-free advances to promoter entities and the CMD, and a proposed doubling of promoter remuneration within a year of appointment. The company also holds ₹48 crore of unutilized IPO funds while planning debt-funded expansion.

Bottom line: This is a record with a clean audit opinion but a CARO finding of prejudicial related-party loans, an auditor resignation months after signing, and receivables at 169 days against negative three-year operating cash flow. The character of the risk is concentrated in related-party dealings, interest-free advances to the promoter and a director, now followed by acquisitions of promoter-owned businesses. Watch the September 2026 EGM and AGM outcomes, the completion of the Hanutech and Ranks acquisitions, and the adjudication of the delayed charge registrations.
