Trustedge Capital Ltd Growth Catalysts - SOIC x StockScans Report
as of Aug 2026
- Rights Issue loan book - The ₹27 crore Rights Issue (33.74 lakh shares at ₹80) was fully allotted on October 17, 2025, with ₹5.87 crore of general corporate purpose proceeds earmarked for loan disbursals - ₹5.00 crore in Q3FY26 and ₹0.87 crore in Q4FY26. That is roughly 2.2x the company's entire FY25 revenue of ₹5.22 crore, deployed into the lending book at a time when TTM revenue is already up 349%.
- Promoter equity backing - Promoters took 27.06 lakh shares (29.33% of capital) in the Rights Issue at ₹80 per share, lifting their holding to 74.99%. This is a direct cash vote of confidence that also funds the balance-sheet expansion without adding debt - D/E stays at 0.18.
- Preferential allotments - Two promoter-group preferential allotments raised ₹2.60 crore (6,49,500 shares at ₹40, allotted January 30, 2025) and a further 8.85 lakh shares at ₹57 (allotted June 3, 2025). These injections roughly doubled the pre-FY25 equity base, funding the lending expansion that drove revenue from ₹1.09 crore to ₹7.19 crore in two years.
- Authorized capital headroom - Authorized capital was raised from ₹5.50 crore to ₹7.00 crore in May 2025, with a further increase to ₹15.00 crore proposed at the ensuing AGM. The proposed 2.1x expansion gives management room to issue equity for the next growth round without another EGM.
- CEO and CFO hires - A CEO (February 3, 2025) and CFO (May 27, 2025) were appointed, professionalizing a family-run lender. This is the operating capacity needed to scale loan disbursals beyond the current single-segment bill-discounting book.
- Independent director depth - Mr. Narayanan Sadanandan, ex-MD & CEO of SBI Pension Funds with 40+ years in banking, joined as Independent Director on July 7, 2026. His institutional lending and treasury experience directly supports the push into volume business that management has flagged since September 2024.
- ESOS scheme - TEDGE ESOS 2025 was adopted by shareholders on May 9, 2025, with BSE in-principle approval awaited. Once live, it aligns the new CEO and CFO with shareholder value creation as the loan book scales.
