Uni Abex Alloy Products Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Uni Abex Alloy Products' FY2026 results are dominated by a single event: a ₹273.53 crore gain on the sale of its Thane land, which accounts for nearly all of the year's ₹279.86 crore profit. The underlying record is not clean: operating cash flow has lagged reported profit for years, the company runs a recurring unsecured lending book with promoter-group finance entities while its own filings state no material related-party transactions exist, and the auditor has flagged persistent audit-trail exceptions it cannot fully verify. The governance structure is tightly held, with the promoter family controlling 63.63% of shares and seeking to keep two directors beyond age 75.

Key findings

  1. A one-time Thane land sale drove FY2026 profit to ₹279.86 crore Major - Profit After Tax jumped to ₹279.86 crore in FY2025-26 from ₹33.57 crore in FY2024-25, with Profit Before Tax of 328.84 crore including an exceptional item of 273.53 crore profit on sale of Thane land. The auditor was also unable to comment whether audit trail was enabled and operated at the application level for the accounting software used for property, plant and equipment for the period 1 April 2025 to 22 December 2025, and audit trail has not been preserved for FY2023-24 and FY2024-25. The FY2025-26 CARO clause (i)(c) states that all immovable properties are held in the name of the company except for one property for which management is in the process of getting registration, and the same exception was reported in FY2024-25 and FY2023-24.

The audit engagement partner changed from Khushroo B. Panthaky for reports dated 29 June 2020, 27 May 2022, and 22 May 2023 to Gaurav Shekhawat for the report dated 27 May 2026.

What to watch

Bottom line: This is a company with a clean audit record and a stable auditor, but the FY2026 profit number is not a measure of operating performance: it is a land sale. The recurring unsecured lending to promoter-group finance entities, set against the Board's statement that no material related-party transactions exist, is the most substantive governance question on the record. Watch whether the inter-corporate deposit book continues, whether Form AOC-2 stays not applicable, and whether the ₹121 crore capex programme is funded without further pressure on operating cash flow.
