ABans Enterprises Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

ABans Enterprises has reported seven straight years of unqualified audit opinions, but that clean record sits against a backdrop of unusual related-party flows, unresolved regulatory proceedings, and a widening gap between reported profit and operating cash. The company's related-party credit limits have ballooned to ₹15,650 crore, dwarfing its turnover, and shareholder votes on these deals are effectively decided by a handful of public votes. A SEBI show-cause notice alleging ₹41.09 crore in unlawful gains remains unresolved, and operating cash flow has been negative for five of the last seven years.

Key findings

  1. Related-party credit and commerce has ballooned to ₹15,650 crore, with votes effectively decided by a handful of public investors Major - For FY2025-26, total approval limits in the material related-party transaction (RPT) table for the company and its subsidiary Abans Jewels Ltd stood at ₹15,650 crore, with individual limits for purchase/sale of goods at 166.08% of annual consolidated turnover. On the March 30, 2026 postal ballot covering 18 material RPT resolutions, only 5,198 votes were polled (0.0075% of shares held), with the promoter group casting zero votes. The secretarial auditor has repeatedly stated RPTs were at arm's length without independently verifying that criterion.
  2. SEBI's August 2023 show-cause notice alleging ₹41.09 crore unlawful gains remains unresolved Major - SEBI issued a Show Cause Notice dated August 29, 2023 to the company, promoter Mr. Abhishek Bansal and six other entities, alleging unlawful gains from trading in the company's own shares and violation of Minimum Public Shareholding norms, with a notional profit figure of ₹41.09 crore. The company offered a settlement of ₹15.18 lakh and the promoter offered ₹1.03 crore, with applications under consideration by SEBI. Proceedings were stayed by SAT on October 18, 2024, with the matter last listed February 6, 2026 and adjourned to April 7, 2026.
  3. Operating cash flow has been negative for five of the last seven years, cumulatively negative ₹33 crore Major - Cumulative operating cash flow was negative ₹33 crore over FY2020-FY2026, against cumulative PAT of ₹141 crore, giving a cumulative CFO/(PAT−other income) ratio of -1.82x. Other income comprised 72.6% of profit before tax in the latest period, at ₹31 crore of ₹42 crore total PBT. No dividend was declared or paid in FY2025-26, FY2024-25, or FY2023-24.
  4. Clean audit opinions with a FY2025-26 related-party loan and withdrawn amalgamation scheme Major - The statutory auditor issued unqualified opinions for each of FY2019-20 through FY2025-26, with Key Audit Matters reported on Market Linked Debentures valuation in FY2023-24, FY2024-25, and FY2025-26. CARO clause 3(a) for FY2025-26 reports a loan of ₹574.81 crore given to one subsidiary during the year. The standalone auditor's report contains an Emphasis of Matter stating the Board approved a Scheme of Amalgamation on November 8, 2024 to merge Abans Jewels Ltd into the company, but the merger was withdrawn by both companies from NCLT on March 12, 2026.
  5. Debt-like instruments and pledged assets mask true economic obligations Major - The subsidiary Abans Jewels Ltd approved raising ₹1,000 crore through Non-Convertible Debentures at a Board meeting on February 5, 2026, approved by shareholders on March 2, 2026. Inventory and trade receivables are pledged to Beacon Trusteeship against secured debentures with ₹88.83 crore outstanding as at March 31, 2026. Working capital facilities are secured by pledge of warehouse receipts, two undated cheques for the entire facility, and a personal guarantee of erstwhile director Abhishek Bansal.
  6. Subsidiary structure in constant flux, four divested, one bought out, a merger approved then withdrawn Major - The proposed merger of wholly owned subsidiary Abans Jewels Ltd into the company was approved by the Board on November 8, 2024, but withdrawn by both companies and disposed of by NCLT on March 12, 2026. During FY2023-24, the company purchased the remaining 6.10% of Abans Jewels Ltd from Siddhant Commercials Pvt. Ltd. at ₹501.73 per share, making it wholly owned effective March 27, 2024. Four non-material Indian subsidiaries were divested on January 1, 2022.
  7. No impairment losses reported across seven years, while consolidated PAT diverges sharply from standalone Major - The company reported "No impairment loss on property, plant and equipment based on management review" in both consolidated and standalone statements for FY2025-26, FY2024-25, FY2023-24, FY2022-23, and FY2020-21. Consolidated PAT for FY2025-26 was ₹31.97 crore while standalone PAT was ₹-3.81 crore, a difference of ₹35.78 crore attributable to subsidiaries. No goodwill or CGU impairment testing details are disclosed in the consolidated financial statements.

What to watch

Bottom line: This is a company with a formally clean audit record, but the substance behind that record is thin. The risk sits in three places: related-party flows that dwarf the business itself, unresolved regulatory proceedings, and a profit figure that operating cash flow does not back. Read the cash flow statement and the related-party note with those in mind, and watch the August hearings and the settlement applications.
