AGI Greenpac's record shows a profitable packaging and glass maker with a clean audit history, but the surrounding governance is busy: a large asset sale to a related party, a SEBI penalty under appeal, a failed acquisition, and a promoter family whose pay and appointments draw repeated public-institution dissent. The financial statements are qualified-free, yet several charges are routed through a court-approved reserve that neutralises their impact on profit.
Key findings
- A ₹630 crore slump sale to a related party generated exceptional gains, while approved RPT limits hit ₹1,996 crore
Major- AGI Greenpac sold its Building Products Division to Hindware Limited, a related party with common directors, for ₹630 crore effective 31 March 2022, booking an exceptional gain of ₹57.75 crore. Shareholders approved related-party transaction limits with Brilloca Limited of up to ₹1,996 crore plus GST for FY2021-22. A postal ballot dated 7 May 2026 sought approval for consultancy fees to a Non-Executive Director of up to ₹2,15,04,000 per annum for five years. - SEBI penalised AGI Greenpac ₹5,00,000 for disclosure failures, and the appeal is pending before SAT
Major- SEBI imposed a ₹5,00,000 penalty on 30 April 2024 for failing to provide accurate disclosure regarding CCI approval and material developments under Regulation 30(7). The company filed an appeal with SAT on 4 June 2024, which was admitted and pending for final hearing as of the FY2025-26 report date. A court judgment dated 29 January 2025 noted the Bahadurgarh Plant capacity reported to CCI was 490 TPD versus 820 TPD in the Resolution Plan. - Promoter family control is entrenched through multi-decade tenures and succession, with pay approved despite public-institution dissent
Major- Mr. Sandip Somany, on the Board since 12 September 1995, was re-appointed as Chairman and Managing Director for five years from 1 December 2026 at ₹49,00,000 per month plus commission. Public institutions voted 58.85% against his re-appointment and 64.69% against a consultancy fee to Mr. Ram Babu Kabra in a postal ballot concluded 8 June 2026. Mr. Shashvat Somany, the founder's grandson, was recommended on 28 July 2026 for appointment as Joint Managing Director for five years from 1 October 2026. - A court-approved Business Reconstruction Reserve repeatedly offsets impairment and write-off charges, neutralising their net impact
Major- In FY2020-21, AGI Greenpac impaired goodwill of ₹10.73 crore and withdrew an equivalent amount from the Business Reconstruction Reserve. Similar withdrawals of ₹14 crore, ₹16.4 crore, and ₹1.56 crore offset charges in FY2019-20, FY2021-22, and FY2022-23 respectively. The reserve, created under a scheme approved by the High Court of Calcutta on 26 March 2010, cannot be used for bonus shares or dividends. - Customer concentration is extreme and persistent, with two customers supplying over a quarter of revenue in FY26
Major- Revenue from two customers represented ₹727.1 crore (27.28%) of total revenue within India in FY2025-26, down from three customers at ₹1,025.73 crore (40.56%) in FY2024-25. A single customer supplied ₹930.39 crore (40.25%) of revenue in FY2021-22. The auditor identified revenue recognition as a Key Audit Matter in FY2023-24 and FY2022-23, with no adverse findings reported. - Reported debt is shrinking, but economic obligations extend into deferred state liabilities and supplier-finance acceptances
Major- Term loans aggregating to Nil (previous year ₹61.62 crore) were fully repaid or voluntarily prepaid during FY2025-26. Deferred payment liabilities to the Telangana State Government for VAT and CST from 1999-2000 to 2012-2013 aggregated ₹14.68 crore, repayable from June 2026 to March 2030. Shareholders approved an increase in borrowing powers from ₹3,000 crore to ₹4,000 crore on 27 June 2023. - Goodwill impairment of ₹10.73 crore was taken on the Packaging division, while the APGPCL investment was written down to no realisable value
Major- AGI Greenpac impaired goodwill on the Packaging Product division by ₹10.73 crore in FY2020-21. The APGPCL investment, acquired for ₹10.74 crore, had a fair value adjustment of ₹10.57 crore recorded through Other Comprehensive Income in FY2023-24, leaving a residual carrying value of approximately ₹0.17 crore.
What to watch
- SAT hearing. Final hearing of the appeal against the SEBI Adjudication Order dated 30 April 2024 was pending as of the FY2025-26 Annual Report.
- HNG acquisition appeal. The Delhi High Court appeal remains sub judice with hearing ongoing as of the Q3 FY26 transcript dated December 2025.
- AGM vote. The 66th Annual General Meeting on 31 August 2026 will seek approval for Mr. Shashvat Somany's appointment as Joint Managing Director.
- Capex spend. Major capex of ₹1,100-1,200 crore on Gwalior Greenfield and aluminium can projects is expected in FY2026-27.
- BRR utilisation. Whether the Business Reconstruction Reserve is used again in FY2026-27 to offset new impairment or write-off charges.
Bottom line: This is a disclosed and audited record with real assets and shrinking headline debt. The risk sits in the gap between reported profit and economic reality: related-party dealings at scale, a reserve that absorbs losses, and litigation that remains open. Read the exceptional items and the contingent liability tables with that in mind, and watch the SAT outcome.
