Anlon Healthcare Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Anlon Healthcare's record shows a company growing revenue and reported profit while cash flow runs deeply negative and the balance sheet fills with receivables. Three things deserve attention: ₹190 crore of proposed promoter-linked transactions, including a ₹120 crore share-swap for a near-breakeven entity valued at 603% of its turnover; operating cash flow of negative ₹79.44 crore against reported profit of ₹29.09 crore in FY26; and a subsidiary count jumping from 2 to at least 6 within four months of year-end.

Key findings

  1. Shareholder vote sought for ₹190 crore of promoter-linked deals, including a 603%-of-turnover share swap Major - Anlon sought shareholder approval on 13 August 2026 for material related-party transactions with three promoter-linked entities totalling ₹190 crore for FY2026-27. The ₹120 crore share-swap acquisition of Apiqo Organics Private Limited values that near-breakeven entity at 603.56% of its annual consolidated turnover of ₹28.43 crore. The ₹50 crore RPT with Anlon Medicos Private Limited has no valuation report, disclosed as "Not Applicable", against that counterparty's net worth of ₹(433.61) lakhs.
  2. Reported profit is not backed by cash, and IPO capex funds were redirected to acquisitions Major - Anlon reported consolidated PAT of ₹29.09 crore in FY26 while consolidated operating cash flow was negative ₹79.44 crore, a CFO/PAT ratio of -2.73x versus -1.10x in FY25. The Sloan accruals ratio, which measures how much of reported profit is not backed by cash, reached 39.1% of average total assets in FY26. Of the ₹30.72 crore originally allocated from IPO proceeds to capital expenditure, the company proposed redirecting ₹23.33 crore toward strategic acquisitions, with only 6.35 crore (20.67%) utilized for capex as of the postal ballot notice dated 8th Dec 2025.
  3. Receivables balloon to 220 days with no credit-loss provision, while management guides to 2x revenue growth Major - Trade receivables rose 38% to ₹10,367.77 lacs at 31 March 2026, with ₹3,362.58 lacs older than one year and no provision for doubtful debts. Receivable days stood at 220 in FY26, more than double the stated payment terms of 90 days. Management revised FY27 revenue guidance to ₹350-400 crore, up from a previously implied \~₹220-225 crore, and expects FY28 revenue of "somewhere around 700 CR".
  4. IPO expenses of ₹19.24 crore were written off against securities premium rather than the P&L Major - IPO Related Expenses written off of ₹1,924.33 lacs were charged against Securities Premium rather than the profit and loss account in FY26. This sits alongside the cash disconnect: PAT of ₹29.09 crore against CFO of ₹-79.44 crore in FY26, with Sloan accruals at 39.1% of average total assets. Receivable days stood at 220 in FY26, compared with 228 in FY25.
  5. Subsidiary count jumps from 2 to at least 6 within four months of year-end via share-swap acquisitions Major - As of 31 March 2026, Anlon had 2 subsidiary companies. Apiqo Organics became a subsidiary on 9 January 2026, Bizotic Lifescience on 20 March 2026, and Remember India Health Links on 8 May 2026, followed by two newly incorporated subsidiaries on 9-10 July 2026. The preferential allotment proposes issuing up to 8,58,83,617 equity shares at Rs.17.85 per share for non-cash consideration to acquire the remaining 44.94% of Apiqo and 47.41% of Bizotic, making them wholly owned subsidiaries.
  6. Borrowings are modest but 86% short-term, with promoter guarantees and a recent default-grade rating episode Minor - Short-term borrowings of ₹37.56 crore constituted 86% of total borrowings of ₹43.65 crore in FY26. Personal guarantees on borrowings were provided by Punit Rasadia, Meet Vachhani, and Anlon Chemical Research Organization, among others. Brickwork Ratings had placed the rating at BWR C under "Issuer not cooperating" on 20 Nov 2025, before removing that status, upgrading to BWR BB+/Stable, and simultaneously withdrawing the rating effective 14 April 2026.

What to watch

Bottom line: This is a company whose reported profit is running far ahead of the cash it generates, and whose growth is being built through related-party acquisitions and debt-funded expansion. The risk sits in the receivables line and the promoter-linked deal pipeline: both are growing faster than the underlying cash conversion can support. Watch the shareholder vote, the share-swap completion, and whether FY27 operating cash flow turns positive as management expects.
