Authum Investment & Infrastructure Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Authum Investment & Infrastructure's record is a study in disclosed concentration: clean audit opinions every year, but profits that do not convert to cash, a loss-making promoter entity at the centre of ever-larger funding flows, and a subsidiary with a fully eroded net worth and an unresolved SEBI penalty. The regulatory record is active, with two Income Tax searches, an ED inquiry, and a fraud report pending with MCA since 2019.

Key findings

  1. Loss-making promoter entity is the source of ₹2,050 crore funding, with RPT limits up from ₹100 crore to ₹5,000.20 crore Major - Mentor Capital Limited, with FY2024-25 turnover of ₹24.35 crore and a loss of ₹4.08 crore, received ₹2,050 crore of preference-share funding from Authum during FY2025-26. Shareholders approved material related-party limits with Mentor Capital of ₹5,000 crore at the September 2025 AGM, and are now asked to approve ₹5,000.20 crore for the period to the 45th AGM in 2027. The proposed NCRPS issuance of up to ₹2,450 crore represented 53.51% of Authum's turnover but 10,061.60% of Mentor Capital's own turnover.
  2. Reported profits have not converted into operating cash flow across the four-year cycle Major - Cumulative CFO of ₹5,385 crore covered only 0.37x of cumulative PAT less other income of ₹14,659 crore over FY2023-FY2026. The weakest years were FY2023, with CFO at 0.06x of PAT, and FY2025, at 0.08x. No dividend was recommended for any of the years ended March 31, 2022, 2023, or 2024.
  3. Profit has been repeatedly shaped by acquisition-scheme accounting Major - In FY2024-25, a ₹1,037.81 crore debt-to-equity conversion of NITCO Ltd shares was credited to Other Income. In FY2022-23, exceptional write-backs of ₹4,286 crore, including unsustainable debt and inter-corporate deposits, were booked through the Statement of Profit and Loss. A demerger of Reliance Commercial Finance's lending business was accounted under Ind AS 103, and deferred tax assets of ₹412 crore on the acquired loan business's losses remain unrecognised.
  4. Clean audit opinions, but the consolidated reports carry going-concern and fraud-report flags Major - The standalone FY2025-26 audit was unmodified with no Emphasis of Matter. The consolidated report, however, carried an Emphasis of Matter on subsidiary Open Elite Developers Ltd, whose net worth is fully eroded with accumulated losses of ₹897.98 crore, and a Section 143(12) fraud report filed with MCA in June 2019 that remains pending. The same subsidiary faces a ₹25 crore SEBI penalty and 5-year market ban, stayed on appeal.
  5. Regulatory record spans exchange penalties, two Income Tax searches, and an open ED inquiry Major - SEBI's August 22, 2024 order penalised subsidiary Open Elite Developers ₹25 crore and banned it from the securities market for 5 years; the SAT appeal is scheduled for September 22, 2026. The Enforcement Directorate has an open inquiry into pre-acquisition transactions of Reliance Commercial Finance and Reliance Home Finance. Income Tax search operations were conducted in December 2023 and July 2026, and BSE froze a promoter demat account in July 2023 for a filing lapse.
  6. Income tax demands under appeal have climbed to ₹136.11 crore and are not provided for Major - Standalone and consolidated income tax demands under appeal stood at ₹136.11 crore as at 31 March 2026, up from ₹134.08 crore, and were not provided for. Bank guarantees provided rose to ₹14.65 crore from ₹0.65 crore in each of the two prior years. On 7 July 2026, NCLT rejected Authum's resolution plan for Vas Infrastructure Limited, while a plan for Creatoz Builders was approved on 17 July 2026.
  7. Subsidiary web expanded rapidly; key subsidiary's net worth fully eroded Major - Authum had no subsidiaries as of March 31, 2022; by FY2025-26 it had acquired several, including India SME ARC in June 2025 and Primetek Pens in November 2025. Its largest subsidiary, Open Elite Developers, has fully eroded net worth and relies on holding-company comfort. Four stakes above 20%, Prataap Snacks, NITCO, MIRC Electronics, and Katra Phytochem, are classified as strategic and not consolidated.
  8. Promoter-family directors dominate the board, with rising pay and a 6-point dilution in promoter holding Major - Promoter holding fell 6.14 percentage points in one year to 68.81%, with two disposals totalling ₹2,473 crore in July-August 2025. Promoter-family members hold key roles: Mr. Amit Dangi was re-appointed Whole-Time Director with salary up to ₹1 crore per annum, and Mr. Divy Dangi was appointed Whole-Time Director with remuneration up to ₹2.5 crores per annum. Average managerial remuneration rose 129.06% in FY2023-24.
  9. Auditor churn tracks RBI-mandated NBFC rotation, not distress Clean - The previous auditor, H.R. Agarwal & Associates, completed its 3-year NBFC tenure per RBI Circular dated April 27, 2021, and was replaced at the 42nd AGM on September 30, 2024. Joint auditors Maharaj N R Suresh and Co LLP and APAS & Co LLP were appointed with 98.13% of valid votes in favour. No auditor resignation occurred in FY2024-25 or FY2023-24.

What to watch

Bottom line: This is a disclosed and audited record with a clean standalone opinion, but the substance is concentration: a loss-making promoter entity at the centre of funding, profits that do not arrive as cash, and a subsidiary web with eroded net worth and open regulatory matters. The risk is not hidden, it is in the related-party limits, the cash conversion line, and the pending regulatory calendar. Watch the SAT hearing, the ED inquiry, and whether the ₹5,000.20 crore RPT limit with Mentor Capital is approved.
