as of Sep 2026

Amagi Media Labs' FY26 record carries clean audit opinions, but the numbers underneath them deserve a close read. 3. Only recent acquisition Argoid was loss-making with negligible revenue; no impairment recognised Major - Amagi Corporation acquired Argoid Analytics for USD 4.55 million (₹38.47 crore) on November 26, 2024, with 50% deferred for two years. From acquisition to March 31, 2025, Argoid contributed ₹0.84 crore revenue and ₹1.29 crore loss before tax. No goodwill impairment was identified as at year end.
  4. Reported profit leans on a ₹68 crore other-income contribution, selective deferred-tax recognition, and a ₹7.62 crore labour-code charge Major - Other income of ₹68 crore constituted 56.0% of profit before tax of ₹121 crore. The Holding Company recognised no deferred tax assets due to unabsorbed depreciation and carried-forward losses, while net deferred tax assets in consolidation relate only to profitable subsidiaries. The Group recognised an incremental past service cost of ₹7.62 crore upon notification of the Labour Codes on November 21, 2025. Management disclosed a one-time non-cash FX charge in Q1 FY27; excluding it, PAT would have been ₹40 crore versus reported ₹34 crore.
  5. PAT turned positive in FY26 but operating cash flow was negative, bridged by IPO proceeds now parked as restricted cash Major - FY26 PAT was ₹71.67 crore against operating cash flow of negative ₹9.24 crore, a CFO/PAT ratio of -0.13x. The company held ₹634 crore in bank balances and ₹78 crore in cash relating to IPO funds pending utilisation as at March 31, 2026, compared with Nil a year earlier. 6. Revenue growth is flattered by a prior-year rev-rec timing benefit Major - Management states the prior year base had a "rev rec benefit related to a large deal" that impacted the first half compare; excluding the timing impact, overall reported growth would have been 35% and almost 23% at constant currency. Management acknowledges "there's some work to do here" on cash flow.
  7. Audit opinions are clean, but the auditor flags recurring exceptions on server backups and audit-trail coverage Major - S.R. Batliboi & Associates issued unmodified opinions on both standalone and consolidated financial statements for FY2025-26. The auditor noted that for two software applications, back-up of books of account was not maintained on servers physically located in India on a daily basis. For five accounting software applications, the auditor could not comment whether the audit trail was enabled for privileged access changes, and the prior-year audit trail for Salesforce was not preserved. CARO states the company incurred cash losses of ₹110.61 crore in the immediately preceding financial year.
  8. A controlled trust sits inside the consolidation perimeter; three subsidiaries are unaudited and one is being liquidated Minor - The Group comprised the Holding Company, 5 wholly owned subsidiaries, 4 step-down subsidiaries, and a controlled trust as at March 31, 2026. Three subsidiaries were unaudited and management-certified, with total assets of ₹3.45 crore and revenues of ₹0.2 crore. Voluntary liquidation of Argoid Analytics Private Limited was approved by the NCLT Bengaluru Bench effective August 31, 2026.

What to watch

Bottom line: This is an audited record with clean opinions, but the quality of the profit deserves scrutiny. The positive PAT rests on a large other-income contribution and accounting choices, while operating cash flow turned negative and the gap was bridged by IPO proceeds. The character of the risk is twofold: a large fixed obligation from cloud commitments against thin profitability, and cash settlements to promoters that warrant attention. Watch the September AGM vote, the deployment of the ₹634 crore, and the Q2 FY27 print.
