Amber Enterprises' FY2025-26 consolidated audit carries a first-time qualified opinion, driven by unaudited subsidiary and joint venture financials, while the standalone and internal financial controls opinions remain clean. The broader record shows a company rapidly scaling related-party limits, capitalising operating costs into intangibles, and stacking acquisitions with put liabilities, even as reported profit increasingly diverges from cash generation.
Key findings
- First-time qualified opinion on consolidated accounts, driven by unaudited subsidiary and JV financials
Critical- S.R. Batliboi & Co. LLP issued a qualified opinion on the consolidated financial statements for FY ended 31 March 2026 because they include unaudited financials of one subsidiary (total assets ₹1.73 crore, revenues ₹4.78 crore) and a step-down joint venture whose unaudited financials reflect the Group's share of a net loss of ₹81.94 crore. The auditor stated the matter "may have an adverse effect on the functioning of the Company" under Section 143(3)(e). The standalone auditor's report for the same period contains no qualification, and both standalone and consolidated internal financial controls opinions were unqualified. - Related-party loan limits rose from ₹50 crore to ₹1,000 crore per entity, with shareholder dissent
Major- Amber sought Section 185 approval for loans to two subsidiaries up to ₹50 crore per entity in FY2022. The FY2025-26 notice seeks Section 185 approval for loans to IL JIN, Ascent Circuits and Ascent-K up to ₹1,000 crore per entity. Public institutional shareholders voted against Section 185 resolutions at up to 26.18% in the postal ballot concluded 5 November 2024, while promoters voted all 13,433,237 shares in favour. The FY2025-26 AGM notice seeks material RPT approvals up to ₹6,135 crore, yet the Board's Report states no related party transaction was considered "material" and no Form AOC-2 was annexed. - Reported profit is increasingly disconnected from cash generation as capitalised expenses escalate
Major- Consolidated expenses capitalised under intangible assets under development rose from ₹63.16 crore in FY2023-24 to ₹223.81 crore in FY2025-26. The CFO/PAT ratio fell from 6.92x in FY2023-24 to 1.06x in FY2025-26, while free cash flow turned negative at ₹-1,048 crore. A ₹1,000 crore QIP raised during FY2025-26 was fully utilised as on 31 December 2025, and no dividend was recommended for the year. - Reported borrowings understate economic obligations through supplier-finance, put options, and leases
Major- Supplier finance acceptances of ₹692.64 crore were reclassified from trade payables to other financial liabilities as at 31 March 2025 in the consolidated financial statements. IL JIN Holding recognised put liabilities of ₹219.07 crore and ₹191.12 crore for minority stakes in Ascent Circuits and Power-One as at 31 March 2026, plus deferred consideration of ₹123.01 crore for Shogini. Consolidated net debt jumped from ₹510 crore as of March 2026 to ₹1,225 crore as of 30 June 2026, disclosed by the CFO in response to a prior question. - Rapid group expansion through acquisitions, with several entities posting losses or exiting at nominal value
Major- IL JIN acquired 60% of Power-One for ₹262 crore, 80% of Shogini for ₹506 crore, and 40.2% of Unitronics for NIS 15.61 crore during FY2025-26, with the Unitronics stake rising to 49.66% by 31 March 2026 and 50.4% in April 2026. Sidwal divested its entire 49% stake in Shivaliks on 30 March 2026 for ₹1,09,798.85, after writing off the investment in the December 2025 quarter. Several subsidiaries posted net losses in FY2025-26, including Sidwal at ₹(8,698.76) lakh on revenue of ₹535.4 crore, ILJIN Holding at ₹(842.48) lakh, Ascent-K at ₹(45.35) lakh, Appserve at ₹(2.30) lakh, and AmberPR at ₹(15.69) lakh. - Reported profit is shaped by exceptional items, common-control restatements, and deferred tax choices
Major- Consolidated exceptional items totalled ₹111.27 crore in FY2025-26, including ₹81.94 crore share of loss in Shivaliks and ₹29.74 crore impairment of loan to Shivaliks. The amalgamation of Ever Electronics into IL JIN resulted in an adjustment of ₹888.54 crore recognised, with ₹856.79 crore allocated to NCI. Unused MAT credit at the standalone level rose from ₹36.52 crore in FY2021 to ₹52.55 crore in FY2026, while the company has stated every year from FY2019-20 through FY2025-26 that it "expects to avail" the concessional 22% tax rate "from a later financial year". - Repeated no-impairment conclusions on rapidly stacked acquisitions with put liabilities
Major- In FY2026 consolidated, annual impairment tests of goodwill and brand name found each CGU's recoverable amount exceeded carrying amount, with no impairment recorded. IL JIN's acquisitions of Power-One and Unitronics each recognised put liabilities and goodwill that is not tax-deductible; the Shogini acquisition recognised consideration payable of ₹123.01 crore for the remaining 20% stake. In FY2025 standalone, the goodwill impairment test used a long-term growth rate of 5.00% and discount rate of 12.70%, with no impairment recorded. - Promoter-director remuneration repeatedly escalated with rising dissent, while pay is drawn from multiple group entities
Major- Mr. Jasbir Singh's remuneration was increased to ₹3,50,00,000 per annum plus commission, effective 1 April 2025, approved at the 35th AGM on 11 August 2025. Public institutional shareholders voted 17.85% against the resolution permitting aggregate director remuneration to exceed the overall managerial remuneration limit as per Section 197 of the Companies Act 2013 at the same AGM. Both promoter brothers draw remuneration from Sidwal, and commissions from subsidiaries ILJIN, Pravartaka and Ascent, with Mr. Daljit Singh also drawing commission from PICL.
What to watch
- Shareholder vote on enhanced RPT limits. The FY2025-26 AGM notice seeks Section 185 limits of ₹1,000 crore per entity and Section 186 limits of ₹5,000 crore, plus material RPT approvals up to ₹6,135 crore, per the notice dated 18 July 2025.
- Independent director re-appointments. The 36th AGM will vote on the second term for Mr. Prakash Iyer and Ms. Sabina Moti Bhavnani from 19 September 2026 to 18 September 2031.
- Gujarat High Court hearing. Next hearing on the customs show-cause notice stay follows the 19 January 2026 stay order.
- AmberPR amalgamation. Revised scheme filed 6 May 2026 is pending NCLT Chandigarh Bench approval with an Appointed Date of 1 April 2026.
- Oppo partnership clarity. Whether revenue will sit at Amber Group or ILJIN level is expected before mid-September 2026 per management statements in the Q1 FY27 transcript.
Bottom line: This is a record with a clean standalone audit and unqualified internal financial controls, but the first-time consolidated qualification and the scale of related-party expansion and capitalised costs warrant attention. The risk sits in the gap between reported profit and cash generation, and in the group's rapid, debt-funded acquisition structure. Watch the shareholder vote on the enhanced RPT limits and the next court hearing on the customs matter.
