- Bliss acquisition strategy: The acquisition provides forward integration from key starting materials into formulations and expands CDMO offerings across regulated markets such as the US, Europe, and India. The deal aims to leverage synergies across Anupam's broader platform, including Tanfac and J-Hock.
- Capacity utilization target: Management aims to quickly scale Bliss's capacity utilization from around 30% to 70–80%. No major growth capex is required since manufacturing infrastructure is already built and Bliss holds approximately ₹160 crore in cash.
- Acquisition financing: The transaction is projected to be EPS accretive, funded with only ₹300 crore of new debt or NCDs on Anupam's balance sheet, with the remainder and any open offer obligations financed through equity or quasi-equity.
- Leverage and EBITDA: The added borrowing will bring net debt to roughly ₹1,400–1,500 crore. Management remains comfortable with leverage levels given an expected proforma EBITDA of ₹600–700 crore once contributions from Bliss and J-Hock are fully consolidated.
