Arkade Developers' FY26 record carries one clean line and one very large caveat. The auditors issued unqualified opinions on both years' standalone and consolidated statements, and the same audit firm served across FY25 and FY26. But a ₹182.17 crore impairment wiped out nearly all of FY26 profit, was booked as tax-deductible with no provision, and the tax department has been left free to examine the scheme, while operating cash flow has been negative for six straight years.
Key findings
- A ₹182.17 crore impairment erased nearly all FY26 profit and was booked with no tax provision
Critical- Standalone PAT fell from ₹156.93 crore in FY25 to ₹5.34 crore in FY26, driven by a one-time exceptional item of ₹182.17 crore from writing off tenancy rights of Filmistan Private Limited after its acquisition and demerger. Management treated the impairment as an allowable deduction under the Income-tax Act, 1961, and recognised no corresponding tax adjustment or provision. The NCLT order dated 16 March 2026 expressly left the Income Tax Department at liberty to examine any tax payable under the Scheme. - Operating cash flow has been negative for six years, against cumulative profit of ₹408 crore
Major- Cumulative CFO was ₹-315 crore versus cumulative PAT of ₹408 crore over FY2021-FY2026, a ratio of -0.59x after adjusting for other income. FY26 CFO was ₹-119 crore against PAT of ₹5.29 crore, and FY25 CFO was ₹-218 crore against PAT of ₹157 crore. ROCE fell to 0.90% in FY26 from 21.35% in FY25. - A ₹2 crore alleged fraud by the former Chief Sales Officer is under police investigation
Major- On 28 July 2026, the company disclosed an alleged fraud involving diversion of customer transactions, wrongful procurement of brokerage, and forgery of agreements by Mrs. Amita Singh, former Chief Sales Officer, with an FIR registered at Samata Nagar Police Station, Mumbai. A further disclosure on 11 August 2026 confirmed the FIR and that the matter is under investigation. Separately, a GST inspection on 12 March 2025 led to a ₹1.48 crore payment on 18 March 2025. - Clean audit opinions, with one unmodified Emphasis of Matter on the ₹182.17 crore impairment
Major- Mittal & Associates issued unqualified opinions on both standalone and consolidated statements for FY25 and FY26, with no qualification or modified opinion. The FY26 consolidated report carries an Emphasis of Matter, a special call-out, on the ₹182.17 crore impairment, noting management's tax treatment and that the opinion was not modified. The FY25 standalone report identified one Key Audit Matter on inventory of ₹906.06 crore; the FY26 standalone report has no Key Audit Matters section. - GST demands and search-related allegations across FY2022-FY2026
Minor- On 30 April 2026, the Assistant Commissioner, Division III, Central Goods and Services Tax and Central Excise Appeals, Thane Commissionerate imposed a tax demand of ₹1,14,62,603 and a penalty of ₹11,46,260, disallowing Input Tax Credit for FY2019-20 to FY2021-22; the company stated there is no material impact and is considering an appeal. A March 2025 inspection alleged RCM liability of ₹25.58 lakh, GST liability of ₹1.09 crore, and interest of ₹13.16 lakh. A further GST demand order was received on 10 July 2026. - Promoter loans were fully repaid, while a ₹12.61 crore loan to a loss-making subsidiary was converted to equity at a ₹16,999 premium
Minor- The Chairman & MD's unsecured loan of ₹13.56 crore as at 31 March 2025 fell to ₹Nil as at 31 March 2026. The company converted its ₹12.61 crore loan to Filmistan Private Limited into 7,415 equity shares at a premium of ₹16,999 per share, approved on 25 September 2025, when FPL had negative net worth. CARO states the loans to subsidiaries were prima facie not prejudicial to the company's interest. - Revenue recognition relies on cost-to-complete estimates, while receivables realisation has deteriorated
Minor- The auditor flagged Ind AS 115 revenue recognition using the percentage-of-completion method as a key audit matter in FY25, citing significant judgement in estimated costs to complete. Trade receivables turnover changed by more than 25% in FY25 due to diminished debtors realisation. No impairment losses were provided on trade receivables in either year, and no single customer contributed 10% or more to revenue. - Auditor continuity is intact, with only the signing partner changed
Clean- Mittal & Associates served as statutory auditor for both FY25 and FY26, with no resignation reported in either year's CARO. The signing partner changed from Hemant R Bohra for FY25 to Sourabh Bagaria for FY26. Cost and secretarial auditors were appointed on schedule, with the secretarial auditor approved for five years from FY2025-26.
What to watch
- Fraud investigation outcome. The police investigation into the alleged ₹2 crore fraud by former Chief Sales Officer Mrs. Amita Singh is ongoing, with an FIR registered on 28 July 2026.
- Income Tax examination. The Income Tax Department remains free to examine tax payable from the Scheme of Arrangement, per the NCLT order dated 16 March 2026.
- GST appeal. The company's contemplated appeal against the 30 April 2026 CGST order for ₹1,14,62,603 tax and ₹11,46,260 penalty.
- GST demand resolution. The 10 July 2026 GST demand order from the Assistant Commissioner, Division III, Thane Commissionerate.
- Bhandup land acquisition. Completion of the MoU to acquire Woollen and Textile Industries Ltd for ₹148 crore, disclosed in the FY2025-26 Annual Report.
Bottom line: This is an audited record with clean opinions and intact auditor continuity, but the earnings quality is defined by one transaction: a ₹182.17 crore impairment on the acquisition of Filmistan Private Limited, booked as tax-deductible with no provision while the tax department retains the right to examine it. The persistent negative operating cash flow against cumulative profit reinforces that the reported numbers need scrutiny. Watch the fraud investigation, the tax examination, and whether cash flow ever catches up with reported profit.
