Associated Alcohols & Breweries has a seven-year run of unqualified audit opinions, but that clean record sits alongside unresolved tax demands, a pending cartel investigation, and recurring governance and disclosure lapses. The most material items are the ₹29.23 crore of income-tax demands under challenge, and a board where promoter-family executives draw remuneration that repeatedly exceeds statutory limits.
Key findings
- Income-tax demands of ₹29.23 crore under challenge; CCI probe pending since 2021
Major- The Deputy Commissioner of Income Tax raised demands of ₹15.53 crore for FY 2017-18 and ₹13.7 crore for FY 2018-19 in a 25 March 2025 order, both under Section 69A. The Madhya Pradesh High Court has directed authorities not to implement the orders without its permission. Separately, the CCI searched the company on 27 October 2021; its 20 March 2024 order sent the investigation back for further work, with no penalty order received. - Promoter-family executives and relatives draw multi-crore remuneration exceeding statutory limits
Major- Mrs. Sangita Kedia and Mrs. Shweta Kedia, relatives of directors, each received ₹2.4 crore in FY2025-26, more than the Whole Time Directors and while holding over 7% of shares each. The auditor flagged that remuneration to a director exceeded shareholder-approved limits by ₹13.26 lakhs for FY2024, citing Section 197(16). Shareholders at the 36th AGM raised the overall managerial remuneration cap from 10% to 20% of net profits. - Seven years of clean opinions mask repeated CARO exceptions on VAT, bank returns, and audit trails
Major- Singhi & Co. issued unqualified opinions for FY2020 through FY2026 with no Emphasis of Matter in any year. Yet the database-level audit trail was enabled only from 1 July 2025, and the FY2025 report said it was not enabled that year. Non-payment of ₹1.32 crore of VAT interest appears in every CARO report from FY2022 through FY2026. - Related-party loans recur yearly while the company denies material RPTs needing AOC-2 disclosure
Major- Loans to a company granted in an earlier year fell due and were extended in FY2023-24, and loans to two parties were extended in FY2022-23. An unsecured loan receivable from Mount Everest Breweries Limited is disclosed in every report from FY2019-20 through FY2022-23. The FY2025-26 report states no material related party transaction occurred and AOC-2 disclosure was not required, the same statement appears in four earlier reports. - Cash generation has weakened sharply against profit; warrant proceeds sat unutilised for a year
Major- CFO/PAT fell from 3.85x in FY15 to 0.91x in FY25 and 0.59x in FY26, with free cash flow negative in both FY25 and FY26. The company allotted shares on 4 September 2025 on conversion of warrants issued 28 March 2024, raising ₹43.65 crore earmarked for its subsidiary; as of 31 March 2026 the funds remained unutilised. - Group structure transformed from no subsidiaries to two within two years
Major- As of FY2022-23, the company had no subsidiaries, associates or joint ventures. Associated Alcohols & Breweries (Awadh) Limited was incorporated on 23 February 2024 but had yet to commence operations as of 31 March 2026. SDF Industries Limited was acquired under the IBC pursuant to an NCLT order dated 16 April 2026, becoming a subsidiary effective 13 May 2026. - Repeated accounting-policy choices have each boosted reported profit
Major- In FY2020-21, the group reassessed plant useful life to 15 years, lowering depreciation and raising net profit before tax by ₹9.98 crore. The company switched to the Section 115BAA tax regime in FY2019-20, crediting ₹2.55 crore to deferred tax expenses. In FY2025-26, the company changed its ratio methodology, excluding Other Income from Operating Profit Margin and restating prior-year figures.
What to watch
- High Court writ petitions. The Madhya Pradesh High Court has directed the tax department not to implement the AY 2018-19 and AY 2019-20 orders without permission; the writs remain pending.
- CCI further investigation. The Director General is conducting further investigation following the 20 March 2024 CCI order, with the company's jurisdiction challenge pending.
- SDF Industries operations. The Kerala plant is expected to commence operations by December 2026, per an announcement dated 26 July 2026.
- Awadh subsidiary funding. The ₹43.65 crore raised from warrant conversion on 4 September 2025, earmarked for the subsidiary, remained unutilised as of 31 March 2026.
- VAT interest arrears. Whether the ₹1.32 crore remains outstanding in the FY2026-27 CARO report, given it has appeared in every CARO report from FY2022 through FY2026.
Bottom line: This is a company with a clean audit opinion streak and no loan defaults, but the record carries recurring exceptions that never seem to close. The character of the risk is cumulative: tax demands that keep arriving, related-party arrangements that keep recurring, and cash conversion that keeps weakening. Watch whether the High Court resolves the tax challenge, whether the CCI probe concludes, and whether the subsidiary funding finally gets deployed.
